【摘要】:自影子银行出现以来,人们对其争论不断、褒贬不一。尤其是2007年美国金融危机爆发后,影子银行曾一度被认为是引发危机的罪魁祸首。各国和相关国际组织纷纷出台措施对其加强监管。然而,作为金融创新的产物,影子银行在丰富投资产品、提高资本效率、拓宽融资渠道等方面,具备传统金融机构与产品所不具备的优势。如何发展——既将影子银行纳入监管,又不抑制其积极作用的发挥——影子银行,无论是对于西方发达国家还是对于我国来说,都是一个不可回避的问题。因而,本文的策略是构建影子银行法律监管的统一实体法,以将影子银行纳入监管体系。由此,本文将在分析影子银行基本理论的基础上,总结典型代表国家和地区当前对影子银行的法律监管制度的共性和差异;并结合国际上影子银行法律监管的融合趋势,论证构建影子银行法律监管统一实体法的必要性与可行性;此外,在金融稳定理事会(FSB)统一监管框架内,并借鉴WTO对成员国的约束机制,尝试构建影子银行法律监管的统一实体法。本文具体共分为四大部分。第一部分介绍影子银行的基本理论,包括影子银行的概念、特征和法律类型。其中影子银行的分类将会是论文的第一个创新点,突破经济领域对影子银行的类型划分,从法律性质的角度归纳影子银行的分类。这一部分将为后文的论述奠定理论基础。第二部分总结影子银行法律监管的共性和差异。本部分主要选取几个具有代表性的国家和国际组织(分别是美国、欧盟、国际清算银行和国际金融稳定委员会)的法律监管制度进行对比分析。其中共性包括引导多于压制、致力于构建宏观审慎框架,差异包括监管重点和监管方式的不同。这部分实际是对现有制度的经验进行总结。第三部分对构建影子银行统一实体法的必要性和可行性进行分析。对于必要性主要通过影子银行法律监管的融合趋势、影子银行自身特点等进行论证,可行性主要通过金融危机提供的契机、各国意愿及现有制度基础等进行论证。第四部分阐述构建影子银行法律监管统一实体法的具体设想。这部分也是论文的重点创新部分。将在前文基础上,以FSB统一框架为基点,尝试奠定统一实体法的框架,列出需要重点设计的具体制度,包括信息披露、跨国交易交叉传染的防止、信用评级机构的特殊监管、“监管的监管”以及对成员国的约束机制等进行探讨,并就我国融入统一实体法提出相应建议。
[Abstract]:Since the emergence of shadow banking, there has been a lot of controversy about it, especially since 2007, when the US financial crisis broke out. Shadow banking was once thought to be the culprit of the crisis. Countries and international organizations have introduced measures to strengthen its regulation. However, as a product of financial innovation, shadow banking is enriching investment products. Improve capital efficiency, broaden financing channels, with traditional financial institutions and products do not have the advantages. How to develop-even shadow banking into the supervision. Shadow banking is an unavoidable problem for both western developed countries and China. The strategy of this paper is to construct a unified substantive law of shadow banking legal supervision in order to bring shadow banking into the regulatory system. Therefore, this paper will analyze the basic theory of shadow banking. Summing up the commonness and difference of typical representative countries and regions' current legal supervision system of shadow bank; Combined with the trend of international shadow banking legal supervision, this paper demonstrates the necessity and feasibility of constructing a unified substantive law of shadow banking legal supervision. In addition, in the Financial Stability Board of the FSBs unified regulatory framework, and learn from the WTO binding mechanism on member States. This paper is divided into four parts. The first part introduces the basic theory of shadow banking, including the concept of shadow banking. The classification of shadow banking will be the first innovation of the paper, and break through the classification of the types of shadow banks in the economic field. This part will lay a theoretical foundation for the later discussion. The second part summarizes the commonness and difference of shadow bank's legal supervision. This part mainly selects several representative. National and international organizations (. The United States. The European Union, the Bank for International Settlements and the International Financial Stability Board) make a comparative analysis of the legal regulatory system. The third part analyzes the necessity and feasibility of constructing the unified substantive law of shadow banking. Mainly through the shadow banking legal supervision of the integration of the trend. Shadow banking has its own characteristics, the feasibility of which is mainly through the opportunity provided by the financial crisis. The 4th part expounds the concrete idea of constructing the unified substantive law of shadow banking legal supervision. This part is also the key innovation part of the paper. It will be based on the previous article. Based on the unified framework of FSB, this paper tries to establish the framework of unified substantive law, and lists the specific systems that need to be designed, including information disclosure, prevention of cross-contagion in transnational transactions, and special supervision of credit rating agencies. This paper probes into the supervision of supervision and the restraint mechanism of the member states, and puts forward some suggestions on the integration of our country into the unified substantive law.
