【摘要】：近年来随着我国经济的迅速发展,商业秘密越来越来成为一项重要的财产,它不仅使其所有者能利用其增强竞争力扩大市场占有率,而且由于商业秘密往往是具有先进性和实用性的技术信息与经营信息,所以其对社会的发展也具有重要的意义。然而不可否认的是,我国近年来有关商业秘密的侵权案件日益增多,这不利于我国社会整体的专有技术与经营信息的发展,同时也导致了商业交往中经常出现违背商业道德的行为。因此有必要就商业秘密给予法律保护,以维护商业交往中的善良风俗并通过制度性的保护,使商业秘密成为促进财富增长和技术进步的重要手段。但是不容否认的是,由于我国在商业秘密立法方面没有良好的历史传统加之我国的市场机制并不是那么完善,导致在现阶段我国对商业秘密的法律保护并不是那么的完善,这在实践中就体现为在商业秘密侵权案件中如何合理的确定损害赔偿之数额。本文将理论与实践相联系,分别在立法层面以及司法实践层面探讨了当前我国商业秘密侵权赔偿数额如何合理确定的问题。本文分为四部分,第一部分从商业秘密的概念及商业秘密侵权入手,介绍了现阶段在我国相关法律对商业秘密进行的定义,并在商业秘密基本定义的基础之上分析了其基本的构成要件希望能为读者厘清商业秘密的基本范围；继而本文对商业秘密侵权进行了探讨,即商业秘密侵权的构成要件、哪些非法使用他人商业秘密的行为是侵权以及在实践中就商业秘密的侵权如何进行认定。第二部分本文从历史的角度介绍了两大法系中具有代表性的国家有关商业秘密侵权的立法以及相关国家在商业秘密侵权方面的惩罚措施,这其中尤其以美国为代表,不论其对商业秘密的侵权的认定还是确定合理赔偿数额等方面无一不是透彻的,笔者希望两大法系中在商业秘密立法方面有代表性的国家的法律能为我国所借鉴,以让我国在这方面的立法能更快的趋于完善。在第三部分中本文首先从历史的角度探讨了我国商业秘密的立法沿革,梳理了现阶段我国有哪些法律保护商业秘密,力求清晰呈现出我国现阶段商业秘密法律体系的全貌；其次本章将理论与实践相结合,首先从法律层面探讨了我国在商业秘密保护方面的缺陷,其次本文引用了当前社会中发生过的一些商业秘密侵权的案例,以案例为出发点析了司法实践中就商业秘密侵权之后如何合理确定赔偿以及在商业秘密侵权案件中原告如何就其主张的赔偿数额进行证明存在的缺陷。第四部分则是针对我国商业秘密侵权损害赔偿的缺陷探讨了解决之方法,首先从立法的层面上探讨了要解决当前的不足必须细化我国关于商业秘密侵权损害赔偿的规定,以及需要在商业秘密法律保护体系中规定惩罚性的赔偿制度；其次则是针对本文第三章中所讨论的司法实践层面的缺陷,探讨了在司法实践中就确定合理的赔偿数额时所应当参考的赔偿要素,以及在商业秘密侵权诉讼中如何合理的在原被告之间分配证明责任。通过本文的探讨,笔者希望能缓解我国商业秘密侵权损害赔偿数额确定之时所面临的困境。
[Abstract]:In recent years, with the rapid development of China's economy, trade secret becomes an important property, it not only makes its owner can enhance its competitiveness and expand market share and use the trade secret is often has advanced and practical technical information and business information, so it has important significance to the development of the society. However, it is undeniable that China in recent years, the commercial secrets infringement cases are increasing, which is not conducive to the development of proprietary technology and management information of our society as a whole, but also lead to the business to often appear in violation of business ethics behavior. Therefore it is necessary to give business secret law the protection, in order to maintain business contacts in good customs and through the protection system of business secrets, which is an important way to promote the growth of wealth and technological progress. But can not be denied Is that because of our commercial secrets legislation does not have the good tradition and China's market mechanism is not perfect, resulting in the present legal protection of trade secret in China is not so perfect, which in practice is reflected in the commercial secret infringement case in how to reasonably determine damages the amount of this paper. The theory and practice, the amount of compensation for infringement of trade secret in our country how to reasonably determine the problems discussed in legislation and judicial practice. This paper is divided into four parts, the first part starts with the conception of trade secrets and commercial secrets infringement, introduces the definition of current law in China the secret of business, and analyzed the basic elements to clarify the basic scope of business secrets for readers based on the basic definition of the commercial secrets; This paper discusses the infringement of trade secrets, the commercial secrets infringement, which the illegal use of others' business secrets infringement behavior is how to identify and infringement of commercial secrets in practice. In the second part of this paper introduces the two legal representative of the relevant national commercial secret infringement legislation and related countries in the aspect of trade secret infringement punishment from the angle of history, which is especially represented by the United States, regardless of its commercial secrets infringement or to determine a reasonable amount of compensation is not thorough, the author hopes that the two legal systems in the business secret legislation of representative countries law can a reference for our country, to make China's legislation faster tends to improve. In the third part of this paper firstly from the historical perspective of China's commercial secret The legislative history secret, combing the present state which the legal protection of commercial secrets, and strive to clearly showing the present stage of our country trade secret legal system of the whole; secondly this chapter combines the theory with practice, firstly, from the aspect of law in China is also discussed the defects of the protection of commercial secret, the second happened in the current society some commercial secret infringement case, the case as the starting point of the judicial practice after the infringement of trade secrets and how to determine the reasonable compensation in the commercial secret infringement cases in the plaintiff how its claim compensation for defects to prove the existence. The fourth part is aimed at the defects of China's commercial secret infringement compensation damage to solve method, first from the legislative level is discussed to solve the current problems must be refined in China on business secret tort damages The regulations, and the need for provisions of punitive compensation system in the legal protection system of business secrets; the second is discussed in the third chapter, according to the defects in the judicial practice, discusses the compensation factor should be the reference in the judicial practice to determine the reasonable compensation amount when, and how reasonable in the commercial secret infringement litigation the distribution of burden of proof between the plaintiff and the defendant. Through this study, the author hopes to ease the confronting China's commercial secrets infringement damage compensation in the dilemma.
