电信行业采购领域法律风险研究

【摘要】：传统电信业务市场趋于饱和,传统业务的急剧萎缩都为电信企业控制成本提出了更高的要求,良好的采购管理成为电信企业控制成本、提高效率的必要手段。本文从识别电信行业采购活动过程中的法律风险内容及风险危害,提出防控措施建议,并结合电信企业采购领域法律风险管理原则及策略,对电信行业法律风险管理的机遇与挑战进行了相关研究。本文以实证分析的方法,以招标投标法、政府采购法、合同法、电信条例等相关法律法规为基础,结合企业法律风险管理相关理论,针对国内电信行业采购活动全过程存在的法律风险,提出了具体的风险防控建议,希望能对规范电信行业采购活动有所帮助。本文共分四个部分:第一部分对国内外法律风险管理相关理论发展及现状进行了归纳阐述。风险管理源起美国,以索克斯法案为标志,促使了世界各国风险控制制度的建立;我国法律风险管理起步较晚,在国资委的牵头下,以部分央企为试点,推行法律风险管理体系在企业内的建设。第二部分为本文主体,分析了电信行业采购活动中涉及的主要法律风险,并针对性的提出了具体的法律风险防控措施建议。按照电信行业采购活动特点,可分为采购准备及采购实施阶段,分别对应了供应商选择,合同签订及履行、供应商行为不当等风险,建议企业严格遵守法律规定,通过完善企业内部管理制度、加强采购活动过程监控等方式对法律风险进行防范与控制。第三部分从创新管理的角度出发,对电信行业采购法律风险管理的原则及策略进行了阐述。电信企业采购法律风险的防控,应以战略性、全员性及动态更新为原则,建立事前防范、事中控制、事后补救的法律风险全面防控策略。第四部分阐述了法律风险管理发展的瓶颈及今后的展望。法律风险的发展,遇到了管理功能、管理定位、管理资源、管理价值等多方面的发展瓶颈,如何突破这些瓶颈,使法律风险管理上升到企业战略发展、法律工作核心的高度,建立长效机制,是法律风险发展的方向和趋势。
[Abstract]:The traditional telecom business market tends to saturation, and the sharp decline of the traditional business has put forward higher requirements for the telecom enterprises to control the cost. Good procurement management has become the cost control of telecom enterprises. The necessary means to improve efficiency. This paper from the identification of the telecommunications industry procurement activities in the process of legal risk content and risk harm, put forward the prevention and control measures. Combined with the principles and strategies of legal risk management in the field of procurement of telecom enterprises, this paper studies the opportunities and challenges of legal risk management in telecommunications industry. Government procurement law, contract law, telecommunications regulations and other related laws and regulations as the basis, combined with the relevant theory of enterprise legal risk management, aiming at the domestic telecommunications industry procurement activities in the whole process of legal risks. The specific risk prevention and control suggestions are put forward. This paper is divided into four parts: the first part summarizes the development and current situation of domestic and foreign legal risk management theory. Risk management originated from the United States. With Sox Act as the symbol, it promotes the establishment of the risk control system in the world. China's legal risk management started late, under the leadership of SASAC, with some central enterprises as a pilot, the implementation of the legal risk management system in the enterprise construction. The second part is the main body of this paper. This paper analyzes the main legal risks involved in the procurement activities of the telecommunications industry, and puts forward specific legal risk prevention and control measures in accordance with the characteristics of the procurement activities of the telecommunications industry. Can be divided into procurement preparation and procurement implementation phase, respectively corresponding to supplier selection, contract signing and performance, supplier misconduct and other risks, it is recommended that enterprises strictly abide by the law. Through the improvement of the internal management system, strengthen the procurement process monitoring and other ways to prevent and control the legal risks. The third part from the perspective of innovative management. This paper expounds the principles and strategies of legal risk management of procurement in telecommunication industry. The prevention and control of legal risks in procurement of telecommunication enterprises should be based on the principles of strategic, all-staff and dynamic renewal, and the establishment of pre-prevention and in-process control. Part 4th expounds the bottleneck of the development of legal risk management and the outlook for the future. The development of legal risk meets the management function, management positioning, management resources. Management value and other development bottlenecks, how to break through these bottlenecks, so that the legal risk management to the strategic development of enterprises, the core of legal work, the establishment of a long-term mechanism. It is the direction and trend of legal risk development.
