众筹模式的法律规制研究

【摘要】：融资方式具有多样性、创新性。就目前来说,互联网金融发展迅速,其中一个非常重要的部分就是众筹融资,这有利于保障中小企业的资金支持。对于我国来说,该种模式出现之后取得了较为快速的发展,并且规模也呈现出扩大化的趋势。但问题也随之凸显出来,相关立法的缺失、政策的疏漏及监管不到位,尤其是股权众筹一直游离于法律的的灰色地带,其合法性也受到质疑。然而,作为众筹发展成熟的美国,其众筹融资模式并不完全适用于我国,如何能走出一条符合中国国情的众筹模式,是本文所要解决的问题。本文主要阐释了众筹模式的理论依据,分析了四种常见的众筹模式类型,并且对股权众筹的合法性进行了深入探究。最后,为我国众筹模式的发展提出了一些意见。沿着这样的思路,本文可以分为以下几个部分。第一部分是对众筹模式的概念和特点进行介绍,并且对众筹模式与非法集资进行辨析。第二部分是对我国众筹模式的发展历程及现状做介绍,主要是通过网络和相关网站收集的相关数据进行分析,对我国现行的众筹模式的运营模式、运营中存在的风险、以及运营中可能碰触的法律红线及众筹平台的监管等制度进行阐述。第三部分通过对第二部分现状的分析,指出其自身存在着立法不健全、信用体系不完善、政策缺失等问题,同时结合现阶段典型众筹平台引发的融资问题,说明众筹模式目前的问题与进一步的发展思路。第四部分主要是立足于前述研究,结合我国的具体实际,提出有利于完善众筹模式的相应建议。对前文分析出的我国众筹模式存在的问题,结合国外较完善的众筹模式的经验,以及国内己有专家,学者的相关研究成果,提出自己的完善方法。
[Abstract]:Financing methods are diverse and innovative. At present, Internet finance is developing rapidly. One of the very important parts is crowdfunding, which is conducive to ensuring the financial support of small and medium-sized enterprises. For our country, After the emergence of this model, rapid development has been made, and the scale has also shown a trend of expansion. However, the problems have also been highlighted, such as the lack of relevant legislation, the omission of policies and the lack of supervision. In particular, crowdfunding has been dissociated from the gray area of the law, and its legitimacy has been questioned. However, as a mature crowdfunding system in the United States, its crowdfunding model does not fully apply to our country. How to get out of a mode of crowdfunding in accordance with China's national conditions is the problem to be solved in this paper. This paper mainly explains the theoretical basis of crowdfunding mode, and analyzes four common types of crowdfunding mode. Finally, the author puts forward some suggestions for the development of crowdfunding mode in China. This paper can be divided into the following parts. The first part is the introduction of the concept and characteristics of crowdfunding model, and the analysis of crowdfunding model and illegal fund-raising model. The second part is to introduce the development process and current situation of crowdfunding model in China. Mainly through the network and the related website collection related data carries on the analysis, carries on the analysis to our country's current crowdfunding mode's operation pattern, the risk which exists in the operation, The third part, through the analysis of the current situation of the second part, points out that there are some problems such as imperfect legislation, imperfect credit system, lack of policy and so on. At the same time, combined with the financing problems caused by typical crowdfunding platforms at this stage, it explains the current problems and further development ideas of crowdfunding mode. Part 4th is mainly based on the above-mentioned research, combining with the concrete reality of our country. This paper puts forward the corresponding suggestions for perfecting the crowdfunding model. In view of the problems existing in the crowdfunding model in our country, the experience of the foreign more perfect crowdfunding model, and the related research results of experts and scholars in China, Put forward their own perfect method.
