专利保险法律制度研究

【摘要】：随着经济的发展,无论是国际间的经济竞争,还是拥有专利的公司、公民之间的竞争,知识产权尤其是专利作为无形资产的重要作用开始凸显。而在专利的运营过程中,一旦发生专利侵权诉讼,无论结果胜诉还是败诉,都会给权利人造成时间、金钱上的损失,甚至公司的破产。因此为有效保障权利人的合法权益,专利保险应运而生。本文共分为五个部分。第一部分是专利保险的基础理论。此部分阐述了专利保险的起源、概念和种类,并指出本文所要论述的专利保险主要为已经运行成熟的专利执行保险和专利侵权责任保险,然后在此基础上结合保险利益,分析了这二者保险的性质。第二部分是专利保险的必要性和可行性。此部分通过阐述专利本身面临的法律风险及其救济的不足和现今专利侵权现象的频繁发生说明了推行专利保险的必要性；既然专利保险有必要推行,那么推行是否有可行性,笔者接下从理论上阐明了专利保险的可行性——专利侵权风险是可保的同质风险,从现实上说明我国已具有推行专利保险的可行性。第三部分是对专利保险当事人义务的法律分析。此部分首先说明本文所论的两大主要专利保险的承保范围,为下面分析保险当事人的义务奠定基础。然后分析了保险人的资格和保险人的义务,最后说明了投保人、被保险人的资格及其应负的法律义务。第四部分是对专利保险中两个法律问题的说明。一是专利保险是否能引发恶意诉讼的问题。笔者结合恶意诉讼的构成要件和实务专利保险保单的具体条款,说明推行专利保险不会引发恶意诉讼；一是对于专利保险中的属人性分析。笔者结合具体实务保单说明了保险标的转让和保险合同转让这两种情形下,原保单有效与否取决于保险利益的存在与否。第五部分是对我国推行专利保险的法律建议和思考。在此部分首先说明了推行专利保险可能遇到的障碍和相关建议。其次说明了我国在推行专利保险时,对具体险种的选择,应先推行专利侵权责任保险。最后阐释了对《保险法》第12条和16条的具体思考和完善建议。
[Abstract]:With the development of economy, whether it is the international economic competition or the competition among the patented companies and the citizens, the important role of intellectual property rights, especially patents as intangible assets, has begun to be highlighted. Once the patent infringement lawsuit occurs, whether the result is successful or not, it will cause the loss of time, money and even the bankruptcy of the company to the obligee. Therefore, in order to effectively protect the legitimate rights and interests of the right holder, patent insurance arises at the historic moment. This paper is divided into five parts. The first part is the basic theory of patent insurance. Then on this basis, combined with the insurance interests, analyzed the nature of the two insurance. The second part is the necessity and feasibility of patent insurance. Since patent insurance is necessary, is it feasible or not, the author then states theoretically the feasibility of patent insurance-the risk of patent infringement is an insurable homogeneous risk. From the reality, it shows that our country has the feasibility of carrying out patent insurance. The third part is the legal analysis of the obligations of the parties to patent insurance. It lays a foundation for the following analysis of the obligations of the insurance parties. Then it analyzes the qualifications of the insurer and the obligations of the insurer, and finally explains the qualifications of the policyholder and the insured and their legal obligations. Part 4th is the explanation of two legal issues in patent insurance. One is whether patent insurance can lead to malicious litigation. It shows that the implementation of patent insurance will not lead to malicious litigation; first, the analysis of humanity in patent insurance. The author explains the transfer of the subject matter of insurance and the transfer of insurance contract in combination with specific practical policies. Whether the original policy is valid or not depends on the existence or not of the insurance benefits. Part 5th is the legal advice and thinking on the implementation of patent insurance in our country. In this part, the author first explains the obstacles and related suggestions that may be encountered in the implementation of patent insurance. Secondly, it explains the choice of specific types of insurance in China when carrying out patent insurance. It is necessary to carry out the patent tort liability insurance first. Finally, the article explains the concrete thinking and the perfect suggestion to the Article 12 and 16 of the Insurance Law.
