我国公司法价值体系的合理配置研究

【摘要】:法的价值一直是法学研究的一个热点,只有研究法的价值,才能制定出更好的符合法的目的的法律。我国公司法还处于初期发展阶段,还未能全面解决市场经济中出现的种种问题。只有对公司法价值体系配置进行深入研究,研究公司法价值体系如何构建才能更好地实现公司治理目的,制定符合我国国情的公司法制度。本文首先对公司法的价值进行概述,分析了公司法的效率、自由、安全、公平及秩序等价值的具体内涵,公司法包含这些价值是为了实现什么目的。其次对国外公司法发展变化以及价值体系配置进行了研究。通过考察德国公司法制度,围绕双层委员会结构、管理委员会和监事会互相监督制约、权责对等,指出德国公司法重视安全下的效率,同时配套了公示公信监督制度,使得德国的公司在“阳光下”运营,建立了德国公司诚信经营的机制。而针对英国公司法董事治理结构,则指出英国公司法重视自由与效率价值;英国的董事权力监督制度体现了英国公司法保障其他相关者利益安全的价值追求。对于美国公司法,着重分析了从政府放任企业自治,自由参加市场竞争,到现代美国公司法建立的董事监督和信息披露制度。提出董事注意义务和忠实义务,保障股东、雇员、债权人、客户、社区等相关人权益,体现了美国公司法从注重自由和效率价值,到兼顾安全和公平价值,并最终保障市场秩序稳定。再次,通过分析我国公司法修改历程以及价值配置现状,指出我国现行公司法价值配置存在的问题和原因。最后通过对德英美公司法价值配置的借鉴,提出了以效率为主线、以安全为辅助、以公平为目的、实现公司利益相关人权益保障和企业社会责任承担的我国公司法价值合理配置的理论建议。本文运用了比较分析和价值分析等方法对我国公司法价值体系的合理配置进行了系统的研究,用历史分析方法研究了国外公司法的发展以及价值取向,用比较分析方法对国外公司法价值追求进行分析,并以此提出可以借鉴的制度内容,为我国公司法价值体系配置提出合理化建议。
[Abstract]:The value of law has always been a hot topic in the study of law. Only by studying the value of law can we make a better law that conforms to the purpose of law. The company law of our country is still in the initial stage of development, and it has not solved all kinds of problems in the market economy. Only by deeply studying the allocation of company law value system and studying how to construct company law value system can we better realize the purpose of corporate governance and formulate a company law system that conforms to the national conditions of our country. This paper first summarizes the value of company law, analyzes the specific connotation of efficiency, freedom, security, fairness and order of the company law, and what purpose does the company law contain these values to achieve. Secondly, the development and change of foreign company law and the allocation of value system are studied. By examining the German company law system, focusing on the structure of the two-tier committee, the supervision and restriction between the management committee and the supervisory board, the equivalence of powers and responsibilities, it is pointed out that the German company law attaches importance to the efficiency under the security situation, and at the same time it supports the supervision system of public information and public trust. German companies operating in the "sunshine", the establishment of German companies in good faith operating mechanism. In view of the governance structure of British company directors, it is pointed out that the British company law attaches importance to the value of freedom and efficiency, and the supervision system of British directors' power reflects the value pursuit of British company law to protect the interests of other stakeholders. As for the American Company Law, it focuses on the analysis of the system of director supervision and information disclosure, from the government's laissez-faire enterprise autonomy and free participation in market competition to the modern American company law's establishment of director supervision and information disclosure system. The duty of care and loyalty of directors and the protection of the rights and interests of shareholders, employees, creditors, customers, communities, and other related persons have reflected the US Company Law's emphasis on the value of freedom and efficiency, to the consideration of the value of safety and fairness. And ultimately ensure market order stability. Thirdly, by analyzing the course of our company law modification and the present situation of value allocation, this paper points out the problems and causes of our country's current company law value allocation. Finally, by referring to the value allocation of German and British company law, the author puts forward that efficiency is the main line, safety is auxiliary and fairness is the purpose. The theoretical suggestions on the rational allocation of corporate law value in order to protect the rights and interests of corporate stakeholders and bear corporate social responsibility. This paper makes a systematic study on the rational allocation of the value system of company law in our country by means of comparative analysis and value analysis, and studies the development and value orientation of foreign company law with the method of historical analysis. This paper analyzes the pursuit of corporate law value in foreign countries with the method of comparative analysis, and puts forward the system contents which can be used for reference, and puts forward some reasonable suggestions for the allocation of the value system of company law in our country.
