美国“苹果电子书价格垄断案”争点释疑

【摘要】:"苹果电子书价格垄断案"是继"微软垄断案"之后美国法院审理的又一起信息通讯技术领域的反垄断大案。此案的特点是横向垄断协议与纵向垄断协议相互交织,经济分析复杂、争议大,其中的核心争点包括相关市场界定、横向共谋的证明以及纵向代销协议的违法性认定等。美国司法部认为本案的相关商品为电子书市场,但根据交叉网络外部性理论,可以得出电子书与纸质书之间具有相互替代性的结论;法院则对此不置可否,认为苹果公司通过纵向代销协议促成了出版商之间的横向价格共谋,但其援引的先例与本案案情又不完全吻合。经济分析表明,出版商之间具有独立作出决定的可能性。对于苹果公司与出版商之间的代销协议,法院认为构成本身违法,但作为该协议核心的MFN条款又明显具有正负两方面的经济效果。
[Abstract]:The "Apple eBook Price Monopoly case" is another major antitrust case in the field of information and communication technology in U.S. courts following the Microsoft Monopoly case. The characteristics of this case are that the horizontal monopoly agreement and the vertical monopoly agreement are intertwined, the economic analysis is complicated and the disputes are great. The core points of the dispute include the definition of the relevant market, the proof of the horizontal collusion, and the illegality of the vertical consignment agreement, etc. The Justice Department of the United States considers the relevant goods in this case to be the e-book market, but based on the theory of cross-network externality, it can draw the conclusion that there is a mutual substitution between e-books and paper-based books. Apple is believed to have facilitated horizontal price collusion among publishers through vertical agency agreements, but the precedents cited do not exactly match the case. Economic analysis shows that there is a possibility of independent decisions among publishers. The court found the agreement between Apple and publishers to be illegal, but the MFN terms, which are at the heart of the deal, have both positive and negative economic effects.
