【摘要】:公司在经济高速发展的形势下,也日益出现了新的规则和公司治理模式。公司机会规则即是这种背景下的产物。公司机会规则的急需设立,旨在解决两个问题:一是禁止篡夺公司机会;二是合理利用公司机会。适用公司机会规则的前提是确认为公司机会,即公司机会的认定标准决定公司机会规则适用范围的大小。公司机会具有商业性即获利性或财产性,同时具有期待性、排他性以及相关性。财产性是公司机会的内容属性或者说是其基础属性,期待性是其法律属性,排他性和相关性是财产属性的延伸属性。英美法系中公司机会的认定标准形成了诸种较为成熟的理论。我国学界对该标准的认定亦存在多种见解。笔者认为公司机会是可能带来商业利益的机会,是公司经营活动内的机会,公司有能力利用,接受机会者是利用公司职务之便或者凭借公司职务身份。关于公司机会规则,我国现行立法时间并不久远,立法亦存在诸多问题,如公司机会及其认定标准缺失,公司机会规则的规定欠缺独立性,公司机会规则的适用主体存在问题,利用公司机会的例外规定不合理以及侵害公司机会的救济方式存在问题。应在立法上一方面确立公司机会的认定标准;另一方面增加合理利用公司机会的情形,尤其注重公司无利用机会能力和公司抛弃机会两种典型情形;此外需进一步明确篡夺公司机会的法律后果,归入权的完善、撤销权的设立以及损害赔偿请求权的同步适用。对该制度展开全面、系统、深入的研究,其意义有四个方面。首先,对过往的理论进行评判分析,结合具体实例,得出自己关于此制度的判断与建议,以期丰富和完善理论层面。其次,通过对规则的解释、说明,使得司法实践适用规则更为统一、准确。再次,对新制度的构想,为公司机会规则的立法完善提供理论支持。最后,通过上述过程,改善我国的公司治理现状,培育诚实信用的经营理念,从而达到提升公司的市场竞争力,促进我国市场经济繁荣发展。本文的写作采用比较研究法、法条分析法以及具体案件的实证研究法。通过比较研究,可以清晰地展现英美法系公司机会规则的历史沿革、内容和优劣。通过法条分析,能够将理论与实际相结合,直面我国立法存在的问题。通过对具体个案的实证研究,发掘实践中公司机会规则构建的需要。以上研究方法的综合使用,期待给各位读者带来关于公司机会规则更为立体、详实、生动的诠释。
[Abstract]:Under the situation of rapid economic development, new rules and corporate governance models have emerged day by day. The corporate opportunity rule is the product of this background. The urgent need for the establishment of corporate opportunity rules aims to solve two problems: one is to prohibit usurpation of corporate opportunity and the other is to make rational use of corporate opportunity. The premise of applying the company opportunity rule is that it is recognized as the company opportunity, that is, the recognition standard of the company opportunity determines the scope of application of the company opportunity rule. Corporate opportunities are commercial, profitable or property, and are expected, exclusive, and relevant. Property is the content attribute or basic attribute of company opportunity, expectation is its legal attribute, exclusivity and relativity are the extension attribute of property attribute. In Anglo-American law system, the standard of corporate opportunity has formed various mature theories. There are also many opinions on the recognition of this standard in Chinese academic circles. The author thinks that the opportunity of the company is the opportunity which may bring the commercial benefit, is the opportunity within the company's management activity, the company has the ability to use, the person who accepts the opportunity is to take advantage of the company's position or rely on the company's position status. About the company opportunity rule, our country present legislation time is not long, the legislation also has many problems, for example, the company opportunity and its cognizance standard lacks, the company opportunity rule stipulation lacks the independence, the company opportunity rule applies the main body existence question. The exception of taking advantage of the opportunity of the company is unreasonable and there are some problems in the remedy of infringing the opportunity of the company. On the one hand, we should establish the identification standard of the company's opportunity on the one hand, on the other hand, we should increase the situation of reasonable utilization of the company's opportunity, especially pay attention to the two typical cases of the company's ability to take advantage of the opportunity and the company's abandonment of the In addition, the legal consequences of usurpation of the opportunity of the company, the perfection of the right to relegate, the establishment of the right of rescission and the simultaneous application of the right to claim for damages should be further clarified. It has four aspects of significance to carry out a comprehensive, systematic and in-depth study of the system. First of all, the theory of the past is judged and analyzed, combined with concrete examples, to get their own judgment and suggestions on this system, in order to enrich and improve the theoretical level. Secondly, through the interpretation of the rules, the rules of judicial practice are more uniform and accurate. Thirdly, the conception of the new system provides theoretical support for the legislative perfection of the corporate opportunity rules. Finally, through the above mentioned process, we can improve the present situation of our country's corporate governance, cultivate the management idea of honesty and credit, so as to enhance the market competitiveness of the company and promote the prosperity and development of our market economy. This paper adopts comparative research method, law analysis method and empirical research method of specific cases. Through comparative study, we can clearly show the historical evolution, content and advantages and disadvantages of corporate opportunity rules in common law system. Through the analysis of laws and regulations, we can combine theory with practice and face the problems of our country's legislation. Through the empirical study of specific cases, we explore the need for the construction of corporate opportunity rules in practice. The comprehensive use of the above research methods is expected to bring you a more solid, detailed and vivid interpretation of the company's opportunity rules.
