商业银行理财产品法律问题研究

【摘要】:随着经济的迅猛发展,我国有很多商业银行,开始经营理财产品。在经过长时间的发展之后,现在已经壮大成为商业银行一种重要的投资方式。对于这些银行,除了传统的汇、贷、存业务,慢慢成为我国普通居民和企业的主要的投资方向。 由于我国金融业实行的是分业经营制度,不同的金融机构依照不同的制度安排和监管规则开展理财业务,主要包括以下几种:商业银行有理财产品,基金理财产品及私募理财产品;信托公司很久之前就在经营理财产品。另外,保险公司和证券公司慢慢也开始了理财产品的设计和销售。 2004年,我国的商业银行理财产品开始销售。我国的理财产品已经经过了十年的长足发展。在我国,一些较大商业银行的理财产品,现在的资产数额也已经大大超过了一些金融机构的各类理财产品。根据普益财富的统计数据,我们可以得知,从2004年年初,我国商业银行最初开始出售理财产品。时至2012年年底,我国的商业银行,在过去九年期间,共出售各类理财产品九万六千余款,其中包含农村信用社、蒙银村镇银行等。其规律为,每年出售的产品数量越来越多。上面提到的理财产品,是涵盖了各大商业银行,推出的表内及表外的各种理财产品。其消费客户种类有:个人理财客户,法人企业理财客户。 理财产品,因为其自身种类繁多,且投资规模也涉及了较多的客户群体,而引发的法律问题也比较繁琐。2012年年底,商业银行理财纠纷此起彼伏,共爆发了四起经济纠纷。随着社会的快速发展,我们的生活水平也在不断地提高。理财产品对于我们的日常生活而言,影响会越来越大。因此,我们应该对理财产品的基本属性给予充分的探索、界定与规范。共同探讨我国理财产品的规范化问题。通过立法改变现在的性质模糊状态,减少法律漏洞,这最终目的也是为了更全面的保护理财产品的经营者与消费者,维护投资者合法权益。 本文分为引言、正文和结论三个大部分进行论述。正文部分分为三章。第一章对商业银行理财产品的涵义和分类进行了详细介绍,包括国内和国外的定义模式。第二章对商业银行理财产品的法律关系存在的争议进行了分析和界定。第三章对商业银行理财产品中的现实存在的法律问题进行总结概括,并提出了完善建议。存在的问题主要有:银行与信托法律规定不一致问题、资金来源与集资方式存在的法律问题和银行行为不规范问题。完善建议有明确理财产品的信托法律属性,关联交易的法律调整,结构化理财的法律规制,完善消费者权益保护的实施细则等。
[Abstract]:With the rapid development of economy, there are many commercial banks in our country. After a long period of development, it has become an important investment way of commercial banks. For these banks, in addition to the traditional remittance, loan, deposit business, gradually become the main investment direction of ordinary residents and enterprises in China. Because the financial industry of our country implements the separate operation system, different financial institutions carry out financial management business according to different system arrangement and supervision rules, which mainly include the following kinds: commercial banks have financial management products, Fund-based products and private-equity products; trusts have long been in business. In addition, insurance companies and securities companies have slowly begun to design and sell financial products. In 2004, China's commercial banks began to sell financial products. The financial management products of our country have already gone through ten years of considerable development. In our country, the financial products of some large commercial banks have already exceeded the financial products of some financial institutions. According to the statistics of Puyi Wealth, we can know that from the beginning of 2004, Chinese commercial banks initially began to sell financial products. Up to the end of 2012, the commercial banks of our country, in the past nine years, have sold more than 96000 financial products, including the Rural Credit Cooperatives, the Mongol Village Bank and so on. The rule is that more and more products are sold each year. The above mentioned wealth management products cover the major commercial banks, launched in and out of the list of financial products. Its consumer customers are: personal financial customers, corporate financial customers. Wealth management products, because of their own variety, and the scale of investment involved a large number of customer groups, and the legal issues are more cumbersome. At the end of 2012, commercial banks financial disputes one after another, a total of four economic disputes broke out. With the rapid development of society, our standard of living is also constantly improving. Financial products will have a growing impact on our daily lives. Therefore, we should fully explore, define and standardize the basic attributes of financial products. This paper discusses the standardization of financial management products in China. The final purpose is to protect the managers and consumers of financial products more comprehensively and to protect the legitimate rights and interests of investors. This paper is divided into three parts: introduction, text and conclusion. The text is divided into three chapters. The first chapter introduces the definition and classification of commercial bank financial products in detail, including domestic and foreign definition models. The second chapter analyzes and defines the legal relationship of financial products of commercial banks. The third chapter summarizes the legal problems existing in the commercial bank financial products, and puts forward some suggestions. The main problems are: the inconsistency between the bank and the trust law, the legal problem of the source of funds and the way of raising funds, and the problem of the non-standard behavior of the bank. The consummation suggestion has the clear financial management product trust law attribute, the related party transaction legal adjustment, the structured financial management legal regulation, the consummation consumer rights and interests protection implementation rule and so on.
