【摘要】：掠夺性定价是反垄断法规制的滥用市场支配地位的一种典型形式,世界上大多数国家的反垄断法都对掠夺性定价行为做出了规定。掠夺性定价是指具有市场支配地位的经营者,为了排挤竞争对手,以低于成本的价格销售商品,从而损害竞争的行为。该行为不但会对竞争者造成损害,在行为主体成功抢占市场获得垄断利润后,还将损害消费者的利益。掠夺性定价规制难的根本原因在于其认定难,对于掠夺性定价的认定标准始终在争议中发展。本文主要就掠夺性定价行为的认定标准展开论述,通过对主要标准的含义和适用进行阐述,着重分析了几种成本检验规则的优劣。之后对掠夺性定价行为认定的现存问题进行了分析并提出了完善建议。本文共分为五部分:第一部分,对掠夺性定价的概述。其中主要分析了掠夺性定价行为的含义、影响及其与相近概念的区别。第二部分,掠夺性定价的构成要件及认定标准,着重分析了目前一些国家认定掠夺性定价行为的主要标准,包括主观意图标准、成本标准和损失补偿标准。其中成本标准是掠夺性定价行为认定标准中的重中之重,也是争议所集。第三部分,掠夺性定价认定中存在的难点。主要分析了包括主体市场支配地位界定的复杂、成本检验标准的缺陷以及双边市场环境下对上述两个问题提出的新挑战。第四部分,结合上述各国认定掠夺性定价的主要标准及存在难点,对我国针对掠夺性定价认定标准等相关规定进行归纳,同时分析我国在掠夺性定价行为的认定中存在的不足。第五部分,对第四部分中提出的问题和不足尝试提出完善思路。针对上述问题分别提出了平均可避免程本与两段检验规则的成本检验规则修正思路、区分双边市场类型进行相关市场界定与综合产品用途、利润来源界定相关市场的方法以及完善我国反垄断立法和加强企业财务监管的建议。本文综合运用了文献研究、案例分析、逻辑分析等方法进行了研究,对所学知识、参考文献和实证案例进行了深入地学习、分析,对掠夺性定价的认定标准和认定难点进行分析研究,最终提出完善建议。
[Abstract]:Predatory pricing is a typical form of abuse of dominant market position regulated by anti-monopoly law. In most countries in the world, predatory pricing is regulated by anti-monopoly law. Predatory pricing refers to the behavior of operators with dominant market position selling goods at a price lower than the cost in order to squeeze out competitors and thus damage competition. This behavior will not only damage the competitors, but also damage the interests of consumers after the main actors successfully seize the monopoly profits of the market. The fundamental reason for the difficulty of predatory pricing regulation is that it is difficult to identify, and the standard of predatory pricing has always been developing in dispute. This paper mainly discusses the criteria of determining predatory pricing behavior, and analyzes the merits and demerits of several cost test rules by expounding the meaning and application of the main standards. Then it analyzes the existing problems of predatory pricing and puts forward some suggestions. This paper is divided into five parts: the first part, the summary of predatory pricing. It mainly analyzes the meaning of predatory pricing, its influence and the difference between predatory pricing and similar concepts. In the second part, the main criteria of predatory pricing, including subjective intention criterion, cost standard and loss compensation standard, are analyzed. Cost standard is the most important and controversial standard in predatory pricing behavior. The third part, predatory pricing in the identification of difficulties. This paper mainly analyzes the complexity of the definition of dominant position of the main market, the defects of the cost test standard and the new challenges to the above two problems in the bilateral market environment. In the fourth part, combined with the main standards and difficulties of the predatory pricing in the above countries, the author summarizes the relevant provisions of the predatory pricing standards in China, and analyzes the shortcomings in the identification of predatory pricing behavior in China at the same time. The fifth part, to the fourth part raises the question and the insufficiency tries to put forward the perfect train of thought. In order to solve the above problems, this paper puts forward the idea of cost inspection rule revision, which can be averagely avoidable and two-stage inspection rules, and distinguishes the bilateral market type to define the relevant market and the comprehensive product use. The methods of defining the relevant markets and the suggestions of perfecting the antitrust legislation and strengthening the financial supervision of enterprises. This paper makes a comprehensive use of literature research, case analysis, logic analysis and other methods to study the knowledge, references and empirical cases. This paper analyzes the criteria and difficulties of predatory pricing, and finally puts forward some suggestions.
