对外铁路工程总承包的法律风险应对

【摘要】：对外铁路工程总承包是实现铁路"走出去"的重要途径,其涉及的法律关系复杂、法律渊源繁多,所面临的法律风险远远大于一般施工工程。这些风险贯穿总承包项目的整个进程:在合同签订阶段,承包商会面临招标文件表述模糊、现场数据不够准确、语言问题等导致的法律风险;在合同履行阶段,承包商会遭遇不可预见的困难,面临合同履行未达到东道国本地化要求以及劳工管理、环境保护等方面的风险;在合同完成或终止阶段,承包商要注意业主终止合同的条件,以及合同完成或终止后的争端解决,以免遭受损失。承包商要审慎参与竞标,重视风险的识别与评估,并有效利用争端解决机制,妥善应对法律风险。
[Abstract]:The general contracting of foreign railway projects is an important way to realize the railway "going out", which involves complicated legal relations and various legal sources, and the legal risks are far greater than those of general construction projects. These risks run through the entire process of the general contracting project: during the contract signing stage, the contractor faces legal risks resulting from vague presentation of solicitation documents, inaccurate on-site data, language problems, etc., and at the contract performance stage, The contractor's chamber of commerce encounters unforeseen difficulties and faces the risk that the performance of the contract does not meet the localization requirements of the host country, as well as labor management, environmental protection, etc. During the completion or termination of the contract, the contractor shall pay attention to the conditions under which the contract is terminated by the employer, And the settlement of disputes after the completion or termination of the contract to avoid loss. The contractor should be careful to participate in the bidding, pay attention to the risk identification and evaluation, and effectively use the dispute settlement mechanism to deal with the legal risk.
