建立国有企业职业经理人制度研究

【摘要】:国有企业是我国公有制经济的核心组成部分和实现形式,对完善社会主义市场经济体系起着非常重要的作用。建立国有企业的职业经理人制度,吸纳更多的优秀职业经理人参与到国有企业的经营和管理活动中,对于推动国有企业的改革,发展混合所有制经济,促进国有经济的稳定和发展,完善企业法人治理结构都有着非常重要的意义。文章第一部分对国有企业职业经理人制度研究的背景、意义及国内外研究现状进行了概述;第二部分论述了国有企业和职业经理人的基本情况;第三部分着重分析了在建立国有企业职业经理人制度过程中面临的问题;第四部分提出了建立国有企业职业经理人制度的具体措施。本文的创新点在于提出了制定以《国有企业职业经理人监督管理暂行条例》为核心的制度规范,并以该条例对职业经理人的主体资格、权利义务和责任,以及市场制度、激励约束机制进行规范,以便更好地建立国有企业职业经理人制度。
[Abstract]:State-owned enterprises are the core component and realization form of the public economy in China and play a very important role in perfecting the socialist market economic system. Establishing the system of professional managers in state-owned enterprises and absorbing more excellent professional managers to participate in the operation and management of state-owned enterprises will promote the reform of state-owned enterprises. It is of great significance to reform, develop mixed ownership economy, promote the stability and development of state-owned economy, and perfect the corporate governance structure of enterprises. The third part focuses on the problems faced in the process of establishing the system of professional managers in state-owned enterprises; the fourth part puts forward the concrete measures for establishing the system of professional managers in state-owned enterprises. In order to better establish the system of professional managers in state-owned enterprises, we should standardize the qualifications, rights, obligations and responsibilities of professional managers, as well as the market system and incentive and restraint mechanism.
