【摘要】：多重表决权股和忠诚股份,是一个长久以来在欧洲及世界范围内饱受争议的公司法特色现象,由于最近一众美国高科技公司的密集应用而重获瞩目。在意大利,它们进入公众视线缘起于2014年菲亚特(FIAT)汽车公司的兼并和荷兰母公司的重组。在法国,则长期盛行着企业爱国主义,之后又受到近期法律改革的进一步推动。本文旨在考察意大利的相关法律改革,为其制度测评提供基本的理论框架,搭建更深入研究的平台。
[Abstract]:Multiple voting shares and loyal shares, a long-disputed corporate law phenomenon in Europe and around the world, have gained prominence due to the recent intensive use of high-tech companies in the United States. In Italy, they came into the limelight as a result of the 2014 merger of Fiat (FIAT) Motors and the restructuring of the Dutch parent company. In France, corporate patriotism has long prevailed and has been further boosted by recent legal reforms. The purpose of this paper is to investigate the relevant legal reforms in Italy, to provide a basic theoretical framework for the evaluation of its system, and to build a platform for further research.
