公司登记制度法律问题研究

【摘要】：公司登记制度直接关涉公司作为法律主体的生死存亡,直接关涉公司的行为能力范围,对于作为市场经济最重要的主体—公司而言的重要性不言而喻。而同时作为政府干预经济的重要途径,公司登记制度在国家对于经济的宏观调控中也有着举足轻重的影响。一方面是我国经济体制改革如火如荼进行的时代背景,另一方面是我国公司登记制度上一贯采取的“统一主义”模式弊端不断凸显的现实需要。用理性智慧去梳理、总结、修正、完善我国的公司登记法律制度,定自治监管之分,止市场政府之争,无疑是我们参与全球制度竞争所亟待解决的问题。本文基于公司股东有限责任和风险控制的成本效益理论重新阐释了公司登记制度的价值取向;从利益相关者的角度重新梳理了公司登记制度的功能;从原因力、制度操作和效果力的视角对公司登记制度的性质进行了重思。并在对于公司登记制度的理论充分论证的基础上权衡公司登记的效率与安全,兼顾活跃经济发展与保障交易安全的现实需要,以公司登记的分离主义和改革公司登记机关的选择模式为进路提出笔者的以完善我国公司登记制度为目的立法建议。本文由绪论和四章构成。在文中绪论部分,主要回顾了公司登记制度的发展历史,阐述了公司登记的内涵、外延、特点及其与相关概念的相互关系。正文的第一章中通过法的价值分析、比较分析公司登记制度与商事登记制度,揭示出公司登记制度的价值取向,作为全文的价值基础。正文的第二章将结合公司登记制度的价值取向对公司登记制度的性质、功能、效力进行全面的梳理,从而奠定全文的理论基础。正文的第三章将从比较法的视角,通过公司登记制度的中外比较对我国现行的公司登记制度进行评价和反思正文的第四章将在本文之前理论阐释和实务分析的基础之上探讨采用“分离主义”对我国公司登记制度进行完善的立法建议。
[Abstract]:The company registration system is directly concerned with the survival of the company as the subject of law and the scope of the company's ability to act, which is self-evident for the company as the most important subject in the market economy. At the same time, as an important way for the government to intervene in the economy, the company registration system also plays an important role in the macro-control of the economy. On the one hand, it is the background of our country's economic system reform in full swing; on the other hand, it is the practical need that the malpractice of "unionism" mode which has been adopted consistently in the company registration system of our country is constantly highlighted. Using rational wisdom to sort, summarize, revise and perfect the legal system of company registration in our country, to define the division of autonomous supervision and control, and to stop the contention of market government, are undoubtedly the problems that we need to solve in order to participate in the global institutional competition. Based on the cost-benefit theory of limited liability of shareholders and risk control, this paper reinterprets the value orientation of the company registration system, combs the function of the company registration system from the angle of the stakeholders. This paper reconsiders the nature of the company registration system from the perspective of cause force, system operation and effect force. And on the basis of the theory of the company registration system, we weigh the efficiency and safety of the company registration, and give consideration to the realistic needs of active economic development and the security of transaction. Based on the separatism of company registration and the choice mode of reforming the company registration authority, this paper puts forward the author's legislative suggestions aimed at perfecting the company registration system in our country. This paper consists of an introduction and four chapters. In the introduction part, the author reviews the development history of the company registration system, and expounds the connotation, extension, characteristics and the relationship between the company registration system and the related concepts. In the first chapter, through the value analysis of the law, the author compares the company registration system with the commercial registration system, and reveals the value orientation of the company registration system as the value basis of the full text. The second chapter combs the nature, function and effectiveness of the company registration system with the value orientation of the company registration system, so as to lay the theoretical foundation of the full text. The third chapter of the text will be from the perspective of comparative law, Through the comparison of Chinese and foreign company registration system, the fourth chapter, which evaluates and reflects on the current company registration system in our country, will discuss the use of "separatism" to me on the basis of theoretical explanation and practical analysis before this article. The national company registration system carries on the perfect legislation suggestion.
