我国电子股东论坛制度研究

【摘要】：信息时代的到来,极大改变了人们的生活方式,网络成为人们生活中的必需品。证券业也搭上了互联网的顺风车,改变了传统的证券交易模式,寻求出一条发展的新道路,即网络证券业务。利用因特网等信息网络为媒介,证券交易的其他环节也在网络中兴起,为客户提供一种全新的网络证券服务,尤其是互联网传播具有便捷和快速的特点,电子股东论坛成为股东交流及证券信息传播的重要平台,在股东民主权利呼声越来越高的今天,也能为现代化公司治理和保护中小股东利益提供一种新思路。但是我国电子股东论坛目前还没有形成规模,普及程度也不够,各项制度不完善,法律监管不到位,网络上各种类似论坛层出不穷,鱼龙混杂,一些论坛甚至成为证券欺诈的重灾区。鉴于此,笔者认为应当在我国建立起电子股东论坛制度,本文试图就在我国建立电子股东论坛制度进行一定的探索。第一部分通过研究国外电子股东论坛的内涵结合自身理解为其下定义,结合电子股东论坛产生的契机与大环境,明确其特点、作用和价值,对我国目前存在的类似论坛进行梳理,认为电子股东论坛制度在我国建立具有必要性;在第二部分对比美国、德国较为成熟的立法以及司法实践,并对其评价和分析,指出其中可供我国借鉴学习的部分,借以建立和完善我国电子股东论坛的相关法律制度;第三部分明确电子股东论坛运行制度如设立地址、登录身份限制、论坛风险防范和维护以及对股东在论坛中委托书征集、言论自由、证券欺诈等行为的规制;第四部分从监管主体、内容和方式等方面逐一分析未来的监管方向,并着重讨论股东论坛中当事人的责任,构建出一套监管制度,希望能够创造出良好有序的互联网股东交流环境,保护投资者利益,惠及我国公司运营和发展。
[Abstract]:The arrival of the information age has greatly changed people's way of life, and the network has become a necessity in people's life. The securities industry has also taken a ride on the Internet, changed the traditional securities trading mode, and sought a new way to develop, that is, the network securities business. Using the Internet and other information networks as the media, other links of securities trading are also emerging in the network, providing customers with a brand-new network of securities services, especially the Internet dissemination has the characteristics of convenience and speed, The electronic shareholder forum has become an important platform for the communication of shareholders and the dissemination of securities information. With the increasing demand for democratic rights of shareholders, it can also provide a new way of thinking for modern corporate governance and the protection of the interests of minority shareholders. But at present, the electronic shareholder forum in China has not formed a scale, the popularity is not enough, the various systems are not perfect, the legal supervision is not in place, and various kinds of similar forums emerge in an endless stream on the network, and they are mixed with each other. Some forums have even become a major disaster area for securities fraud. In view of this, the author thinks that the electronic shareholder forum system should be set up in our country, this article attempts to establish the electronic shareholder forum system in our country to carry on certain exploration. The first part clarifies its characteristics, function and value by studying the connotation of the foreign e-shareholder forum combined with its own understanding as its definition, combining with the opportunity and environment of the e-shareholder forum. This paper combs the similar forums that exist in our country, and thinks that it is necessary to establish the electronic shareholder forum system in our country. In the second part, compared with the United States, Germany's more mature legislation and judicial practice, and its evaluation and analysis, pointing out that our country can learn from the part, in order to establish and improve the relevant legal system of China's e-shareholder forum; The third part defines the electronic shareholder forum operation system such as setting up address, login status limit, forum risk prevention and maintenance, as well as the shareholders in the forum proxy collection, freedom of expression, securities fraud and other acts of regulation; The fourth part analyzes the direction of supervision one by one from the aspects of supervision subject, content and mode, and focuses on discussing the responsibilities of the parties in the shareholder forum, and constructs a set of supervision system. Hope to create a good and orderly Internet shareholders exchange environment, protect the interests of investors, benefit the operation and development of our company.
