【摘要】:公私合作伙伴关系(PPP)是目前世界各国在基础设施建设和公用事业发展领域,解决政府财政资金压力,提高公共产品和服务的质量,提高财政资金使用效率的成功模式。PPP在我国已经走过了很长一段发展历程。在立法上呈现有周期性,即每十年为一个周期,每十年国家相关部门均出台了各阶段标志性的政策和法规。随着近两年时间内国务院及相关部门密集出台PPP相关政策、法规,以及地方政府的大力推动,我国迎来了第四个PPP发展高潮。由于过去我国PPP立法一直处于探索阶段,PPP相关法律还存在诸多问题,严重限制了PPP模式的发展,致使投资者对PPP模式望而却步。首先,我国目前PPP相关法效力层级较低,内容简单,实践操作性差。其次,PPP相关法尚未明确规定PPP协议的法律性质、政府保证的法律性质与内容;PPP协议产生纠纷时救济途径难以选择。再次,我国适用于PPP的相关法规与基本法存在冲突,如特许协议期间PPP标的所有权的规定、竞争性谈判的规定等,需要我国对这些冲突法律配套规范进行修改和完善。最后,我国尚未建立有效的PPP机构体系,实践中PPP的发展政出多门,严重障碍PPP的发展。除此之外,在监管体系的完善等方面也亟待完善。经过长期的立法实践发展,我国积累了正反两方面丰富的实践经验和富有特色的立法经验,同时在理论研究、立法技术、配套法律制度完善等方面,都具备制定统一专项立法的可能性。为了鼓励、引导国内私人投资者积极参与PPP模式的发展,推动基础设施建设和公用事业的发展,制定一部适用于PPP模式发展的国家级专项立法,是非常必要和紧迫的。通过对域外PPP法律发展比较成熟国家的比较与借鉴,根据我国PPP立法实践经验,我国可以采取专项立法与单项立法相结合的立法模式,即以专项立法为主,以单项立法为辅。这样既可以保证PPP的统一法律适用,又可以增加专项立法的弹性。在专项立法时,笔者建议应当遵循几个立法原则:平等互利原则、统一规定国内和国外投资者PPP法律适用原则、风险共担原则。在立法内容上,应当明确规定PPP协议的法律性质、政府保证的法律性质与内容、PPP协议纠纷的救济途径以及PPP组织机构的设立等。除此之外,对于监管体系的完善和配套法律制度的修改也需要通过立法解决。
[Abstract]:The public-private partnership (PPP) is currently the world in infrastructure construction and development of public utilities, to solve the pressure of government funds, improve the quality of public products and services, improve the success of.PPP model of financial efficiency in the use of funds has been a long history in China. In the legislation are periodic that is, each for a period of ten years, every ten years, the relevant state departments have issued various stages of the iconic policies and regulations. With nearly two years the State Council and the relevant departments issued relevant policies and regulations, PPP, and vigorously promote the local government, China ushered in the fourth PPP because of the past development climax. PPP legislation in China has been in the exploration stage, PPP related laws still exist many problems, seriously restrict the development of the PPP mode, PPP mode of investors prohibitive. First, China's current PPP The lower level of the effectiveness of method, the content is simple, practical operation. Secondly, PPP correlation method has not clearly defined the legal nature of the PPP protocol, the legal nature and content of the government guarantee; PPP agreement dispute relief way to choose. Thirdly, conflict with China's relevant laws and regulations applicable to PPP and the basic law, such as the provisions of franchise during the period of the agreement PPP subject of ownership, competitive negotiation rules, our need to the conflict of legal standards should be modified and improved. Finally, China has yet to establish an effective PPP system, the development of political practice in the PPP situation, the development obstacle of PPP. In addition, in the regulatory system perfect aspects also need to be improved. After the legislative practice of long-term development of China's legislative experience accumulated practical experience two aspects and rich and distinctive, and in theoretical research, legislative technology, supporting the legal system The degree of improvement, have the possibility to formulate a unified special legislation. In order to encourage and guide the development of the domestic private investors to actively participate in the PPP mode, promote the development of infrastructure and public utilities, formulate a national special legislation for PPP model development, is very necessary and urgent. The comparison and reference of mature through the development of foreign PPP law countries, according to China's PPP legislation experience, our country can adopt the legislative mode of special legislation and individual legislation combined with special legislation, mainly to individual legislation as a supplement. So that we can guarantee the uniform law applicable to PPP, and can increase the special legislation in the special elastic. The legislation, the author suggests we should follow several legislative principles: the principle of equality and mutual benefit, both domestic and foreign investors to apply legal principles of PPP provisions of unity, the principle of risk sharing in the content of legislation. We should clearly stipulate the legal nature of the PPP agreement, the legal nature and content of the government guarantee, the remedy for PPP dispute and the establishment of PPP organization. Besides, the improvement of the regulatory system and the modification of the corresponding legal system also need to be solved by legislation.
