【摘要】:产权式商业物业起初是从外国引入我国的,它的经营模式比较特殊,即购买商业物业的资者,在购买之后并不参与具体的运营,而是将商业物业委托给统一的运营商经营管理,资者只需要按期获取收益的经营模式。 由于产权式商业物业起步晚,发展时间短,相关理论发展滞后,规范产权式商业物业投资与经营的法律法规较匮乏,致使我国产权式商业物业发展中的很多问题无法通过法律手段解决,严重阻碍了产权式商业物业的投资经营和作用的发挥。 本文析了产权式商业物业在产权登记、经营模式及交易主体等方面的法律问题,并提出了相关的完善措施和解决对策。全文共分为五部分,内容安排如下: 第一部分,绪论。本部分主要说明选题的原因及意义,并对文章的研究重点做出简要概述。 第二部分,产权式商业物业概述。探讨产权式商业物业的特征及性质:重点对产权式商业物业的经营模式进行分析。 第三部分,产权式商业物业产权登记的相关法律问题。介绍我国产权式商业物业登记的现状和存在的法律问题,并进一步提出完善建议。 第四部分,主要分析产权式商业物业投资与经营中对中小投资者的保护,分析其中存在的问题和投资风险,并进一步提出解决办法。 第五部分,,产权式商业物业运营模式的法律问题。重点分析产权式商业物业运营模式中的售后包租模式,结合我国关于售后包租的现行法律规定对其合理性进行分析,并进一步提出解决措施。
[Abstract]:Property right type commercial property was introduced into our country from foreign countries at first, its management mode is quite special, that is, the investors who buy commercial property do not participate in the concrete operation after purchase, but entrust the commercial property to the unified operator management. Investors only need a business model in which profits are earned on time. Because the property right commercial property starts late, the development time is short, the related theory development lags behind, the laws and regulations regulating the property right type commercial property investment and management are relatively scarce. As a result, many problems in the development of property right commercial property can not be solved by legal means, which seriously hinders the investment management and function of property right commercial property. This paper analyzes the legal problems of property right registration, business model and transaction subject, and puts forward the relevant improvement measures and solutions. The full text is divided into five parts, the content of which is arranged as follows:. The first part, introduction. This part mainly explains the reason and significance of the topic, and makes a brief summary of the research emphasis. The second part, the summary of the property right commercial property, discusses the characteristics and nature of the property right type commercial property, and analyzes the management mode of the property right type commercial property. The third part introduces the current situation and existing legal problems of the property right registration of commercial property in China, and puts forward some suggestions for further improvement. In the 4th part, it mainly analyzes the protection of the small and medium investors in the investment and management of the property right type commercial property, analyzes the existing problems and investment risks, and puts forward further solutions. Part 5th, the legal problems of the property right commercial property operation mode, mainly analyzes the after-sale chartering mode in the property right commercial property operation mode, and analyzes its rationality in combination with the current laws and regulations on after-sale chartering in our country. Further measures are put forward.
