伦敦弗吉尼亚公司制度变迁(1606-1624)

【摘要】:近代早期英国特许公司的建立,对英国向近代社会转型产生了深远影响。伦敦弗吉尼亚公司是英国众多特许公司中的一个案例,它不仅是合股类型的特许公司,更是现代股份公司前身的一个缩影。该公司主要以殖民为目的,它的一系列制度对英国北美殖民地的发展有着重要影响。目前关于这一问题的研究国内学者很少有人涉及,国外学者尽管很早就有关注,但并没有对伦敦弗吉尼亚公司的制度变迁做过系统的研究,因此,本文选择伦敦弗吉尼亚公司的制度变迁作为研究对象,有一定的学术价值。伦敦弗吉尼亚公司于1606年成立,它的主要活动范围是在美洲,旨在当时称为弗吉尼亚的地区建立殖民地,因此公司的经营状况主要受殖民地的兴衰影响。弗吉尼亚公司在美洲建立的第一个殖民地是詹姆斯敦,后来不断扩张,形成了由十几个定居点组成的殖民地。此后的19年里,该公司的制度先后依据英王颁布的三份特许状做了相应的调整,但仍然解决不了公司巨额的债务问题,公司内部也分成了两派相互斗争,最终在1624年,特许状被国王收回,公司宣告解体。本文除了绪论和结语以外,主体共有4章,分别为伦敦弗吉尼亚公司的建立、伦敦弗吉尼亚公司的法人化、伦敦弗吉尼亚公司的制度调整和伦敦弗吉尼亚公司的解散和转型。绪论部分交代本文的选题依据,并对有关本文研究的关键词和核心专业术语进行了概念辨析,同时梳理了国内外相关研究状况,介绍了本文研究所依据的原始文献,明确了本文研究的理论和方法。第一章为伦敦弗吉尼亚公司的建立。主要阐述伦敦弗吉尼亚公司建立的背景以及首部特许状所规定公司制度。在背景中主要论述了英国北美殖民观念的兴起,以及在这一背景下伦敦弗吉尼亚公司如何建立;在公司制度一节中,主要通过1616年的特许状和公司一系列的指令来论述公司最初的制度设计和登陆选址原则。第二章为伦敦弗吉尼亚公司的法人化。主要论述了伦敦弗吉尼亚公司申请第二份特许状的原因和过程,以及依据第二部特许公司的制度如何调整。第二部特许状使伦敦弗吉尼亚公司获得法人地位,成为具有法律人格的社会组织。第三章为伦敦弗吉尼亚公司的制度调整。首先论述了公司在成为法人实体后,开始采用总督的方式来管理殖民地,进而描述了殖民地三任总督统治下的发展情况,以及在这期间,公司开始面临土地私有化问题。接着论述了公司申请第三部特许状的原因以及在第三部特许状颁布后,公司的制度如何调整的内容;除此之外还论述了公司在1618年进行了重大的改革。第四章为伦敦弗吉尼亚公司的解散和转型。论述了公司在内部存在派别斗争,外部又经历了大屠杀事件后,逐渐走向解体的情况。梳理了公司解体的过程、特许状的收回以及国王对弗吉尼亚殖民地的改组情况等。结语部分旨在对伦敦弗吉尼亚公司的制度变迁进行总结和概括。
[Abstract]:The establishment of the British Chartered Company in early modern times had a profound influence on the transformation of Britain into the modern society. The Virginia Company of London is a case of many British Chartered Company. It is not only a share type, but also a microcosm of the predecessor of the modern stock company. The company is mainly a colony for the purpose of its series. The system has an important impact on the development of British North American colonies. At present, few scholars have been involved in the research on this issue. Although foreign scholars have paid attention to it very early, they do not do systematic research on the institutional changes of the The Virginia Company of London. Therefore, this article chooses the institutional change of the The Virginia Company of London as a result. The The Virginia Company of London was founded in 1606 and its main activity is in the Americas, which aims to establish colonies in the region called Virginia, so the company's operation is mainly affected by the rise and fall of the colonies.
