奇虎360纽约交易所上市案例分析

【摘要】:近些年,中国互联网公司争先恐后到海外上市,其中有些上市成功后股价稳定,公司良性发展,而有一些上市后一段时间股价暴跌,甚至有退市的例子出现。造成互联网企业海外上市的原因是为了获得海外融资,缩减上市时间,减少发行成本,企业能够走向国际市场,更加完善公司治理结构等。但是很多企业出于这种原因海外成功上市之后,却忽略了国际化对于企业的要求,没有如当初设想般的改善公司治理结构,甚至停滞不前,不思进取,把海外上市演绎成一场海外圈钱的大戏。 在这些互联网公司海外上市的案例中,奇虎360属于上市之后表现总的来说比较稳健的一个企业。而且作为一个经营网络安全的公司,其经营模式和盈利模式都是比较特别并且有代表性的。奇虎360作为一个大多数产品免费的公司,竟然能够在短短五年间迅速崛起,占领中国大部分市场并且用户粘性度极高,并且获得较好盈利并且获得国外投资者的青睐而成功在纽交所上市,这都是值得关注的。可是因为它的独特,它获得了成功,同样因为它的独特,在上市的道路上遇到了很多质疑和困难。但是奇虎360克服了这些困难,发挥了自己的优势,并且巧妙的把质疑变为信任,最终成功上市,并且在上市之后进行了搜索引擎的开发、与手机公司的合作、与旅游网站应用软件等的共同开发经验等一些列后续经营活动。海外上市没有成为奇虎360的终点,而成为是它的又一个开端、又一个起点。这使它获得了投资者更多的信任和支持,获得上市后稳定的股价走势,没有出现大的波动。 本文通过对奇虎360上市历程和后续经营的介绍和分析,与其他同行业公司的比较及一些来自技术人员层面的意见和分析,能够对同类互联网企业起到一些指导与启发作用,同时对于奇虎360出现的问题也会对后来者一些警示。同样的,这些启发与警示,也能够对其他行业的期望上市的公司以借鉴作用。
[Abstract]:In recent years, Chinese Internet companies have been scrambling to list overseas. Some of them have been listed successfully and their stock prices have been stable and the companies have developed well, while some of the stock prices have plummeted some time after they went public. There are even examples of delisting. The reason for the overseas listing of Internet enterprises is to obtain overseas financing, reduce the time for listing, reduce the cost of issuing, and enable enterprises to go to the international market. Improving the corporate governance structure and so on. However, after successfully listing overseas for this reason, many enterprises ignored the requirements of internationalization for enterprises, and did not improve the corporate governance structure as originally envisaged, or even stagnate. Do not want to forge ahead, the overseas listing into an overseas circle of money drama. In these cases of Internet companies listed overseas, Qihoo 360 belongs to an enterprise with relatively stable performance after listing. Moreover, as a company engaged in network security, Qihoo 360, as a free company with most products, has been able to rise rapidly in just five years, occupying most of China's markets and having a high degree of user stickiness. And to be successful in listing on the New York Stock Exchange by making a better profit and winning the favor of foreign investors. But because of its uniqueness, it has been successful, and also because of its uniqueness. On the way to the market, he encountered many doubts and difficulties. But Qihoo 360 overcame these difficulties, gave play to his own advantages, and skillfully turned the doubts into trust, and eventually succeeded in listing on the stock market. After going public, he developed a search engine, cooperated with mobile phone companies, and developed experience with tourism website applications, etc. Overseas listings did not become the end point for Qihoo 360. It is another beginning and another starting point, which makes it gain more trust and support from investors, stable stock price trend after listing, and no big fluctuation. Through the introduction and analysis of Qihoo 360's listing process and subsequent management, the comparison with other companies in the same industry and some opinions and analysis from the technical personnel level, this paper can give some guidance and inspiration to the similar Internet enterprises. At the same time, the problems of Qihoo 360 will also give some warning to the latecomers. Similarly, these enlightenments and warnings can also serve as a reference for companies looking forward to listing in other industries.
