招商银行并购永隆银行案例分析

【摘要】:当今世界,随着金融全球化的发展,金融行业展开了空前绝后的跨国并购,这使得全球的金融领域发生了巨大的变化。美国和欧洲等发达国家的银行业首先走上了国际化发展道路,为了提高我国银行业的竞争性,在激烈的竞争中占据一席之地,我国的商业银行开始采取“走出去”的战略,实行国际范围内的多元化经营。近年来,我国银行业开展了大规模的海外并购,但从我国银行业海外并购的风险和绩效来看,整体情况并不理想,据统计,在已开展的中资银行海外并购案例中,60%以上都是亏损的,这个数字是非常的惊人,在这样的背景下,我国银行如何科学的开展海外并购,提高国际竞争力,是目前需要解决的关键问题。 论文采取案例分析法,以招商银行为研究对象,紧密联系中资银行的实际情况,对招商银行并购永隆银行的战略选择进行了详细的分析,能够为以后中资银行海外并购提供宝贵的成功经验,有一定的借鉴意义。 全文总共分为了四个部分: 第一部分,绪论。主要介绍了论文的研究背景、研究意义、相关文献综述和论文的结构等。 第二部分,案例介绍。本章主要介绍了招商银行并购永隆银行的背景、并购过程和并购结果及影响,招商银行成功的并购永隆银行缩短了招行进入香港的时间,通过这次并购招商银行和永隆银行可以共享客户资源,招行借助永隆银行的网络吸引了大量的跨境零售和中小企业客户。2011年末时,招商银行并购永隆银行已经开始出现协同效应。 第三部分,招商银行成功并购永隆银行战略选择分析。论文从并购区域、并购对象、并购策略等多个方面综合的论述了招商银行并购永隆银行的战略选择。从历史数据来看,,银行业并购在金融危机时期发生的数量较多。对于并购区域招商银行则选择了香港,因为香港是重要的国际金融中心,香港市场是招行海外业务的桥头堡。 第四部分,招商成功并购永隆的启示。中资银行在进行海外并购时应认真分析自身的经营情况,从并购的时机、区域、对象、策略等多角度进行分析,制定出正确的并购战略。除了制定正确的并购战略,并购后的整合也是成功的关键。
[Abstract]:In today's world, with the development of financial globalization, the financial industry has launched unprecedented cross-border mergers and acquisitions, which has made great changes in the global financial field. The banks of developed countries, such as the United States and Europe, first embarked on the road of internationalization development. In order to improve the competitiveness of our banking industry and occupy a place in the fierce competition, our commercial banks began to adopt the strategy of "going out". To implement international diversification. In recent years, China's banking industry has carried out large-scale overseas mergers and acquisitions, but from the risk and performance of overseas mergers and acquisitions in China's banking sector, the overall situation is not satisfactory, according to statistics, More than 60% of the overseas M & A cases of Chinese banks have lost money. This figure is very striking. Under such a background, how do Chinese banks carry out overseas mergers and acquisitions in a scientific way to improve their international competitiveness? It is the key problem that needs to be solved at present. This paper takes China Merchants Bank as the research object, closely relates to the actual situation of Chinese banks, and makes a detailed analysis on the strategic choice of China Merchants Bank M & A of Yonglong Bank. It can provide valuable successful experience for overseas M & A of Chinese banks. The full text is divided into four parts altogether: the first part, introduction. This paper mainly introduces the research background, research significance, related literature review and the structure of the paper. The second part, case introduction. This chapter mainly introduces the background of China Merchants Bank's merger and acquisition of Wing Lung Bank, the process of M & A and the result and influence of M & A. The successful merger and acquisition of China Merchants Bank has shortened the time for China Merchants Bank to enter Hong Kong. Through the acquisition, China Merchants Bank and Wing Lung Bank can share customer resources, and China Merchants Bank has attracted a large number of cross-border retail and small and medium-sized customers through its network. China Merchants Bank M & A Yonglong Bank has begun to appear synergy. The third part, China Merchants Bank successfully M & A Yonglong Bank strategic choice analysis. This paper discusses the strategic choice of China Merchants Bank M & A Yonglong Bank from the aspects of M & A region, M & A object, M A strategy and so on. From the historical data, banking mergers and acquisitions in the financial crisis occurred in a large number. The M & A regional China Merchants Bank chose Hong Kong because Hong Kong is an important international financial center and the Hong Kong market is a bridgehead for China Merchants Bank's overseas operations. The fourth part, the inspiration of successful merger and acquisition of Yonglong. Chinese banks should carefully analyze their own management situation when undertaking overseas mergers and acquisitions, analyze the timing, region, object and strategy of mergers and acquisitions, and work out the correct M & A strategy. In addition to formulating the correct M & A strategy, the integration after M & A is also the key to success.
