我国房地产投资信托基金法律问题研究

【摘要】:这些年我国房地产行业发展非常迅速,高度的利润空间吸引大量的资金投资到房地产行业,从而带动房地产投资信托业的快速发展。房地产投资信托在我国发展的历史比较短,在制度上很不完善,与其相关的配套制度也还没有完全建立起来,使得房地产投资信托在发展过程暴露出越来越来多的问题。2000年以后,房地产投资信托业的发展越来越引人注目,关于这方面的研究随之增多,但是从法学角度进行研究的则很少见。房地产投资信托业的发展速度快,相关法律法规修改频繁,监管政策不断变化,这一方面是对房地产投资信托的研究不断深入的结果,另一方面也为研究房地产投资信托造成了困难。目前,房地产投资信托的发展处于转型期,完善房地产投资信托制度对房地产行业、金融业乃至整个国民经济都有着重大的意义。 就我国目前的房地产投资信托发展现状来看,我国房地产投资信托制度发展中的最大问题就是投资模式上的缺陷。我国的房地产投资信托结构有股权投资信托和借贷投资信托的区分,但在实际上借贷投资信托业务占了70%以上,真正意义上的股权投资信托少之又少。信托公司成为放“高利贷”的另类融资银行,信托逐渐脱离信托“受人之托,代人理财”的信托法理念和宗旨。为了改变这一现象,银监会曾下发了一系列文件,严格限制信托公司的信托业务,务求回归股权投资信托本质。但各种形式下的“假股权,真借贷”使得银监会在监管上有心无力,继而衍生出一些列经济和法律问题。这些问题的出现是房地产投资信托制度设计上的缺陷,发展我国的房地产投资信托基金是解决这些问题的根本途径。REITs制度已然成为世界趋势,结合我国具体情形建立起中国模式的REITs制度将是我国房地产投资信托发展的方向。REITs制度的设立涉及多方面的法律问题,在REITs的组织形式、运作模式、监督管理的过程有很多的法律问题需要探讨、解决,也是设立我国REITs的法律前提。

The real estate investment trust in our country for a short history of the development of the system is not perfect, and the related system is still not fully established, after the real estate investment trust in the development process exposed more and more problems in.2000 years, the development of real estate investment trust industry more and more attention, the research about this aspect is increased, but the research from the perspective of law is very rare. The development speed of the real estate investment trust industry quickly. The relevant laws and regulations change frequently, regulatory policy changes, this is the research results to the real estate investment trust deeply, on the other hand, for the study of real estate investment trust It has caused difficulties. At present, the development of real estate investment trusts is in transition. Improving the real estate investment trust system has great significance for the real estate industry, the financial industry and even the whole national economy.
China's current real estate investment trust in the development of the status quo, defects of the biggest problem of real estate investment trusts in China is in the development of investment mode. The structure of real estate investment trust in China has the distinction between equity investment trust and loan investment trust, but in fact loan investment trust business accounted for more than 70%, really the sense of equity investment trust less. The trust company becomes offbeat financing bank "usury", trust gradually separated from the trust entrusted by the trust concept and purpose, generation financial management. In order to change this phenomenon, the CBRC has issued a series of documents, strictly limit the trust company. In order to return to equity investment trust. But the essence of various forms of "fake equity investment, real lending" makes the CBRC powerless in supervision, causing a number of economic and legal issues . these problems are the defects of real estate investment trusts in the system design, the development of real estate investment trusts in China is to solve these problems has become the fundamental way of.REITs system of the world trend, combined with China's specific situation to establish Chinese mode REITs system will be set up.REITs system of China's real estate investment trust development the legal issues involved in many aspects, operating in the REITs mode, organization form, process supervision and management have many legal problems need to solve, but also on the premise of establishing our REITs law.
