【摘要】：世界银行业第三次并购浪潮从二十世纪90年代一直持续到现在,对中国金融业产生极大影响。加入世贸组织也为我国商业银行国际化发展带来挑战和机遇。伴随我国实行“走出去”的发展战略,我国商业银行海外业务随之快速发展,目前我国商业银行在资产规模及质量上都有了明显提高,其海外并购亦有很多成功案例,但我国银行业整体的海外并购经验相对不足。作者对国内外有关银行海外并购的文献进行梳理发现以前的研究多着眼于并购动因及并购效率上,对具体并购案例的研究较少,本文欲对中国工商银行海外并购策略进行研究,以期能够为我国其他商业银行今后的海外并购提供启示和借鉴。本文从企业海外并购策略的理论基础出发,合理解释中国工商银行海外并购的理论基础。然后对其海外并购历程、特点以及海外并购策略选择进行概述,包括定性分析、定量分析。首先对中国工商银行海外并购历程及特点进行总结,详细介绍中国工商银行海外并购的策略选择,然后通过运用“财务指标法”对中国工商银行历年境外财务指标数据变化及对工行集团整体贡献率变化做了简单分析,检验工行海外并购对其银行财务绩效的影响。进而对中国工商银行海外并购的策略选择,包括并购对象选择、并购区域选择、并购方式选择等方面给予评价,归纳总结中国工商银行在海外并购策略选择上的成功经验以及不足之处。最后,借鉴其经验教训对我国其他商业银行今后的海外并购给予有实践意义的启示。
[Abstract]:The third wave of mergers and acquisitions in the world banking industry has been going on from 1990's to now, which has a great impact on China's financial industry. China's entry into WTO also brings challenges and opportunities for the internationalization of Chinese commercial banks. With the development strategy of "going out" in our country, the overseas business of Chinese commercial banks has developed rapidly. At present, the scale and quality of assets of commercial banks in our country have been obviously improved, and there are many successful cases of overseas mergers and acquisitions. However, China's banking industry as a whole overseas M & A experience is relatively inadequate. The author combs the literature about overseas M & A of banks at home and abroad and finds that most of the previous studies focus on the motivation and efficiency of M & A, but less on the specific cases of M & A. This paper intends to study the strategy of overseas M & A of ICBC. In order to provide inspiration and reference for other commercial banks in the future overseas M & A. Based on the theoretical basis of overseas M & A strategy, this paper reasonably explains the theoretical basis of ICBC's overseas M & A. Then the course, characteristics and strategic choice of overseas M & A are summarized, including qualitative analysis and quantitative analysis. First of all, it summarizes the history and characteristics of ICBC's overseas M & A, and introduces in detail the strategic choice of ICBC's overseas M & A. Then the paper analyzes the change of ICBC's overseas financial index data over the years and the change of ICBC group's overall contribution rate by using "Financial Index method" to test the impact of ICBC's overseas M & A on its bank's financial performance. Then it evaluates the strategic choice of the overseas M & A of ICBC, including the choice of M & A object, the regional selection of M & A, the choice of M & A mode, etc. This paper summarizes the successful experiences and shortcomings of ICBC in overseas M & A strategy selection. Finally, draw lessons from its experience to other commercial banks in China in the future overseas M & A to give practical significance.
