我国银行业跨国并购策略研究

【摘要】：随着经济全球化的不断发展，国际间的合作越来越紧密，实施国际化的战略成为了必然趋势。对于国际银行业而言，一方面面临着更为广阔的发展空间，另一方面也面临着全球范围内的激烈竞争。为适应经济全球化和跨国化的需求，各国银行业通过大规模并购来调整本国银行业的产业结构，以增强其国际竞争实力，为客户提供全方位的金融服务。随着我国金融业对外开放进程的加快，我国银行业面临的竞争越来越激烈。与此同时，我国银行业多年来稳固扎实的经营也积累了一定的实力，为我国银行业的国际化之路奠定了良好的基础。对于我国银行业而言，跨国并购是应对国内银行、国外银行竞争压力，走向国际化的必经之路。近年来我国银行业的跨国并购步伐不断加快。本文第一章为绪论，介绍本文的研究背景和意义、国内外研究现状、研究内容、研究方法以及可能的创新点；第二章是相关概念的界定和理论基础，基于相关学者的研究，对企业并购、跨国并购、银行业跨国并购等相关概念进行了界定，同时阐述了跨国并购的理论基础；第三章分析了国际银行业以及我国银行业跨国并购的历程，总结出并购的特点；第四章从内部、外部两个方面剖析了我国银行业跨国并购的动因；第五章分析了工商银行并购南非标准银行和民生银行并购美国联合银行的案例，包括并购双方简介、并购动因、并购过程等，，总结出并购的成功经验及失败启示，并在此基础上，提出了几点策略建议，以期推动我国银行业成功跨国并购；第六章总结文章的研究成果，并指出研究中存在的不足和局限。
[Abstract]:With the development of economic globalization, international cooperation is becoming closer and closer, and the strategy of internationalization has become an inevitable trend. For the international banking industry, on the one hand, it faces a broader development space, on the other hand, it also faces fierce competition in the world. In order to adapt to the demands of economic globalization and transnational economy, the banks of all countries adjust their banking industry structure through large-scale mergers and acquisitions to enhance their international competitive strength and provide customers with comprehensive financial services. With the acceleration of the process of opening up to the outside world, the competition of China's banking industry is becoming more and more fierce. At the same time, China's banking industry has accumulated a certain amount of strength over the years, which has laid a good foundation for the internationalization of our banking industry. For China's banking industry, cross-border M & A is the only way to cope with the competitive pressure of domestic banks and foreign banks. In recent years, the pace of cross-border mergers and acquisitions in China's banking industry has been accelerating. The first chapter is the introduction, which introduces the research background and significance, the current research situation, the research content, the research methods and the possible innovation points. The second chapter is the definition and theoretical basis of the relevant concepts, based on the research of relevant scholars. The related concepts of M & A, M & A and M & A in banking are defined, and the theoretical basis of M & A is expounded. Chapter three analyzes the course of cross-border M & A in international banking and banking industry in China. Chapter four analyzes the causes of cross-border mergers and acquisitions of China's banking sector from the internal and external aspects, and chapter five analyzes the case of the merger of the South African Standard Bank and the Minsheng Bank of the United States Bank by the Industrial and Commercial Bank of China (ICBC) and the people's Bank of China (Minsheng Bank). It includes the brief introduction of both sides of M & A, the motivation of M & A, the process of M & A, and summarizes the successful experiences and failed enlightenment of M & A. On the basis of this, it puts forward several strategic suggestions in order to promote the success of cross-border M & A in China's banking industry. The sixth chapter summarizes the research results and points out the shortcomings and limitations in the research.
