携程旅行网与去哪儿网合并案例剖析

【摘要】：2015年11月26日,百度出面撮合并将其所持有的去哪儿的股权跟携程进行股权置换促成了携程和去哪儿的合并。至此,在线旅游市场呈现出百度、阿里、腾讯的新格局。文章介绍了涉及到的三家公司以及合并案例情况,接着详细分析了该次合并的动机、原因以及可能产生的影响及特点,还剖析由此带来的合并效应以及合并后应注意的问题。以期为企业合并决策以及合并后企业实现有效资源整合以及在线旅游经营模式创新提供借鉴参考。
[Abstract]:On November 26, 2015, Baidu brokered and traded its stake in where to go with Ctrip, which led to a merger of where and where to go. At this point, online tourism market presents Baidu, Ali, Tencent's new pattern. This paper introduces the three companies involved and the case of the merger, then analyzes in detail the motives, causes, possible effects and characteristics of the merger, and also analyzes the merger effect and the problems that should be paid attention to after the merger. It is expected to provide a reference for the decision of merger, the effective integration of resources and the innovation of online tourism management mode.
