产权视角下的中国电信企业改革研究

【摘要】:1978年改革开放以来,随着国有企业改革的进行,我国电信企业也进行了多次的拆分与重组,并取得了一定的效果,为我国经济做出了贡献。但是我国电信企业在产权制度安排上依然存在着较多的问题:国有产权一股独大,有着绝对控股的地位,产权主体过于单一且主体不明晰,政企不分,国有产权缺乏流动性,没有独立自主的监管机构,法律法规体系不健全等。这些问题造成了严重的后果,如:我国电信企业竞争效率低,市场竞争结构不合理,经营管理效果差,运营机制混乱,业务员服务意识差,业务资费过多,消费者满意程度低等。造成这些问题的原因有:政府的权力过大,行政性指令太强;行业准入标准高;产权制度安排不合理。可以说产权制度的安排直接影响到电信企业的经营绩效,也决定了企业是否有一个良好的公司治理结构。文章从产权的界定、交易费用、外部性以及产权制度的作用几个方面着手,深入分析了科斯、德姆塞茨、阿尔钦和张五常的产权理论。在分析我国电信企业改革的过程中,用相应的理论进行了产权解释,并进行了原因分析。我国电信企业经历了垄断经营时期、引入竞争时期、拆分与重组时期和3G、4G牌照发放时期。在剖析我国电信企业产权制度改革中的问题的基础上,根据我国经济体制的特殊性和我国电信企业自身的特征,并借鉴英国、日本电信产权制度改革经验,指出我国电信企业产权制度的改革应遵循以下方向:第一,明晰国有产权的主体,寻找真正的代理机构;第二,国有产权必须顺利流通;第三,探寻产权多元化;第四,股权结构要平衡合理。针对我国电信产业产权制度存在的问题,提出了以下解决对策:找专业的投资代理机构作为国有产权的合格代表,实现所有权与经营权的彻底分营;建立合理有序的产权交易市场,给国有企业顺利流动提供合适的场所;鼓励公司员工持股,引入社会资金,丰富产权主体;建设合理的产权结构所需要的外部环境。最终找到的比较合理的方式是,选择国有股份低于百分之五十的相对控股模式。
[Abstract]:Since the reform and opening to the outside world in 1978, with the reform of state-owned enterprises, telecommunications enterprises in China have been split and reorganized many times, and have achieved certain results, which have contributed to the economy of our country.However, there are still many problems in the arrangement of the property right system of the telecom enterprises in our country: the state-owned property right is dominant, it has the position of absolute control, the main body of property right is too single and the subject is not clear, the government and enterprise are not separated, the state-owned property right is lack of fluidity.There is no independent regulatory body, the system of laws and regulations is not perfect, and so on.These problems have resulted in serious consequences, such as: low competitive efficiency of telecom enterprises in China, unreasonable market competition structure, poor effect of operation and management, chaotic operation mechanism, poor service consciousness of salespeople, excessive service charges,Low level of consumer satisfaction.The reasons for these problems are: the power of the government is too big, the administrative order is too strong, the industry access standard is high, and the arrangement of property right system is unreasonable.It can be said that the arrangement of property right system directly affects the management performance of telecom enterprises and determines whether the enterprises have a good corporate governance structure.From the definition of property right, transaction cost, externality and the function of property right system, this paper deeply analyzes the property right theory of Coase, Demsez, Archin and Zhang Wuchang.In the course of analyzing the reform of telecom enterprises in China, the author explains the property right with the corresponding theory, and analyzes the reasons.The telecom enterprises in our country have experienced the period of monopoly management, the period of introducing competition, the period of separation and reorganization and the period of issuing 4G license.On the basis of analyzing the problems in the reform of the property right system of the telecommunication enterprises in our country, according to the particularity of the economic system of our country and the characteristics of the telecom enterprises of our country, and drawing lessons from the experience of the reform of the property right system of the British and Japanese telecommunication enterprises,The paper points out that the reform of the property right system of telecommunication enterprises in our country should follow the following directions: first, to clarify the main body of state-owned property right and to find out the real agency; second, the state-owned property right must circulate smoothly; third, to explore the diversification of property right; fourth, to explore the diversification of property right;Equity structure should be balanced and reasonable.In view of the problems existing in the property right system of China's telecommunication industry, the following countermeasures are put forward: to find a professional investment agency as a qualified representative of state-owned property right to realize the thorough division of ownership and management rights;To establish a reasonable and orderly property rights trading market, to provide a suitable place for the smooth flow of state-owned enterprises; to encourage the company employees to hold shares, to introduce social funds, and to enrich the property rights subject; to build the external environment needed for a reasonable property rights structure.The more reasonable way to find out is to choose the relative holding mode of state-owned shares less than 50%.
