构建高效董事会——基于决策过程视角

【摘要】:现代公司董事会的决策模式具有对外权威型和对内共识型的双重特征,从决策内容看,主要表现为大量非程序化决策,因此,董事会在决策过程中弥补信息获取不足、充分发挥群体智慧至关重要。为此,宜借鉴组织行为研究成果,在决策中做好信息数据的前瞻性把握,培养独立、多样的信息来源,积极、主动地参与战略目标设定,同时在董事会内部努力营造建设性冲突氛围,克服决策者认知偏误对群体决策的影响。
[Abstract]:The decision-making mode of the board of directors of modern companies has the dual characteristics of external authority and internal consensus. From the decision content, it is mainly manifested in a large number of non-procedural decision-making, therefore, the board of directors in the decision-making process to make up for the lack of access to information. It is essential to give full play to collective wisdom. Therefore, we should draw lessons from the research results of organizational behavior, make a forward-looking grasp of information data in decision-making, cultivate independent and diverse sources of information, actively and actively participate in strategic goal setting. At the same time, we try to create a constructive conflict atmosphere within the board of directors to overcome the impact of cognitive bias on group decision-making.
