大型工程项目总承包模式混合治理机制研究

【摘要】：近年来大型工程项目总承包模式在我国兴起并得到快速的发展。然而从工程项目实践中来看,传统的工程项目总承包模式(即业主—总承包企业—分包商)均通过合同治理方式进行项目管理,致使业主对于分包商的牵制力不强,一旦出现分包商违约导致项目失败,就会出现风险回流业主的现象。现实中针对此种情况出现了一种业主—总承包企业—下属工区的项目治理模式来解决风险回流业主的问题。由此,本文以委托代理理论、项目治理理论、公司治理理论为基础,运用因子分析、扎根理论等方法对该种混合治理机制进行深入剖析。最终得出业主与总承包企业之间的合同治理机制、总承包企业内部的科层治理机制,并通过二者的耦合得到了大型工程项目总承包模式的混合治理机制以及止逆风险回流业主的路径,具体内容如下:首先,以委托代理理论和项目治理理论为基础,通过文献梳理前人研究成果,依据项目的控制权配置、风险分担、报酬激励等,从合同治理中的内在机制与外在机制进行归纳分析。并根据理论分析结果设计调查问卷,运用因子分析方法对其进行验证,最终得到合同治理机制维度。其次,运用文献分析法梳理大型工程项目总承包企业内部的企业管理模式与方式,以此界定总承包企业和下属工区之间的“责、权、利”。通过机制设计、制度安排、合理授权等使总承包企业与下属工区之间形成有效的科层关系。最终得出总承包企业内部的科层治理机制维度。最后,以业主-总承包企业之间的合同治理机制、总承包企业内部的科层治理机制为基础,运用扎根理论方法对相关企业和人员进行访谈,构建出大型工程项目混合治理机制,并对其作用路径、治理策略以及治理的关键点进行了分析阐述,最终得出大型工程项目风险回流业主的两条止逆路径,即风险内化和风险自留。综上,本文通过构建大型工程项目总承包模式混合治理机制得到了止逆风险回流业主的两条路径。一方面,为项目治理的研究提供了一个新的视角;另一方面,为大型工程项目的业主与总承包商在工程实践中提供一个决策参考。
[Abstract]:In recent years, the general contracting mode of large-scale engineering projects has risen and developed rapidly in China. However, from the point of view of engineering project practice, The traditional general contracting mode of engineering project (that is, the owner, the general contracting enterprise and the subcontractor) manages the project through the way of contract management, which causes the owner's restraint on the subcontractor to be weak, and once the subcontractor defaults, the project fails. In reality, a kind of project governance model of owner-general contracting enterprise-subordinate working area appears to solve the problem of risk return owner. Therefore, this paper uses the principal-agent theory. On the basis of project governance theory and corporate governance theory, the mixed governance mechanism is deeply analyzed by using factor analysis and rooted theory. Finally, the contract governance mechanism between owner and general contracting enterprise is obtained. Through the coupling of the two mechanisms, the mixed governance mechanism of the general contracting mode of large engineering projects and the path of preventing the reverse risk from returning to the owner are obtained. The specific contents are as follows: first of all, On the basis of principal-agent theory and project governance theory, through literature review of previous research results, according to the allocation of control rights of the project, risk sharing, reward incentive, etc. The internal and external mechanisms in contract governance are summarized and analyzed. According to the results of theoretical analysis, the questionnaire is designed and verified by factor analysis method. Finally, the dimension of contract governance mechanism is obtained. This paper uses the literature analysis method to sort out the enterprise management mode and mode within the large engineering project general contracting enterprise, so as to define the "responsibility, right and benefit" between the general contracting enterprise and the subordinate working area. Through the mechanism design, the system arrangement, The reasonable authorization makes the relationship between the general contracting enterprise and the subordinate working area to be effective. Finally, the dimension of the governance mechanism within the general contracting enterprise is obtained. Finally, the contract governance mechanism between the owner and the general contracting enterprise is used. On the basis of the internal governance mechanism of the general contracting enterprise, using the rooted theory method to interview the related enterprises and personnel, the mixed governance mechanism of large engineering project is constructed, and its function path is also discussed. The governance strategy and the key points of governance are analyzed and expounded. Finally, two anti-adverse paths for the backflow of large project risk are obtained, that is, risk internalization and risk retention. In this paper, by constructing a mixed governance mechanism of general contracting mode for large engineering projects, two ways to prevent reverse risk from returning to owners are obtained. On the one hand, it provides a new perspective for the study of project governance; on the other hand, it provides a new perspective for the study of project governance. To provide a decision-making reference for the owner and general contractor of large-scale project in engineering practice.
