网络虚拟股东大会制度研究

【摘要】：股东大会是公司治理的一个重要方面,互联网技术的发展和电子商务的迅速崛起,为股东大会提供了一种新的会议模式。美国是世界上最早利用电子化方式召开股东大会的国家,尤其是2000年特拉华州普通公司法的修正,为网络虚拟股东大会提供了法律上的依据,使得股东与董事之间、股东与股东之间便捷高效成本低廉的交流成为可能。本文在对互联网技术发展与网络虚拟股东大会辩证关系研究基础上,探析了网络虚拟股东大会的制度内涵,并以美国网络虚拟股东大会制度作为案例分析对象,对我中国网络虚拟股东大会制度构建提出了一点自己的看法。全文由五个部分构成。第一部分,绪论部分,分析了本文论题的研究目的和意义,在国内外研究现状的基础上以期通过相应地研究方法达到预期写作目的。第二部分,从互联网技术发展与网络虚拟股东大会辩证关系入手,主要分析了互联网技术是如何对公司股东会议模式产生影响,并导致网络虚拟股东大会的产生。第三部分,探析了网络虚拟股东大会的制度内涵,深入挖掘了制度背后的隐藏意义。第四部分,以美国网络虚拟股东大会为案例分析,介绍了网络虚拟股东大会在美国公司中的应用情况,并对其州法律进行分类和评析。第五部分,我国网络虚拟股东大会制度构建,探讨我国引入的意义和可行性,并对制度构建提出立法性建议。
[Abstract]:Shareholders' general meeting is an important aspect of corporate governance. The development of Internet technology and the rapid rise of electronic commerce provide a new meeting mode for shareholders' general meeting. The United States is the first country in the world to hold shareholders' general meeting by electronic means, especially the revision of Delaware's ordinary company law in 2000, which provides a legal basis for the network virtual shareholders' general meeting and makes the shareholders and directors between them. It is possible to communicate easily, efficiently and cheaply between shareholders and shareholders. Based on the study of the dialectical relationship between the development of Internet technology and the virtual shareholders' meeting, this paper analyzes the institutional connotation of the virtual shareholders' meeting, and takes the system of the virtual shareholders' meeting in the United States as the case study object. This paper puts forward some views on the construction of China's network virtual shareholders' general meeting system. The full text consists of five parts. The first part, the introduction part, analyzes the research purpose and significance of this thesis, on the basis of the current research situation at home and abroad, in order to achieve the expected writing purpose through the corresponding research methods. In the second part, starting with the dialectical relationship between the development of Internet technology and the virtual shareholders' meeting, this paper mainly analyzes how Internet technology affects the mode of corporate shareholders' meeting and leads to the emergence of network virtual shareholders' meeting. The third part, analyzes the system connotation of network virtual shareholders' meeting, deeply excavates the hidden meaning behind the system. In the fourth part, the paper introduces the application of the virtual shareholders' meeting in American companies, and classifies and evaluates the state law of the virtual shareholders' meeting in the United States, taking the virtual shareholders' meeting of the United States as a case study. In the fifth part, the author discusses the significance and feasibility of the introduction of the virtual shareholders' general meeting system in China, and puts forward legislative suggestions for the construction of the system.
