【摘要】：为了解决以“创新型、创业型、成长型”股份公司为重点的中小企业融资难、融资贵的老大难问题,推动国家产业结构调整和经济发展方式的转变,激活民间投资,提高直接融资的比重,发挥市场在资源配置中的决定性作用,经省级人民政府批准的区域性场外市场应运而生。2014年,《国务院关于进一步促进资本市场健康发展的若干意见》(国发[2014]17号)中明确指出“在清理整顿的基础上,将区域性股权市场纳入多层次资本市场体系。”,这为处于多层次资本市场塔基的区域性场外市场提供了绝佳的发展机遇。本文着眼于区域性场外市场建设,对其发展现状进行分析,对有代表性的区域性场外市场的运行进行了比较,指出了我国区域性场外市场存在诸如法律法规依据不明确、监督管理不到位、市场定位和功能不清晰和缺乏活力等方面的问题。同时提出了相应的解决对策,包括完善法律规定,明确功能定位、加强顶层设计,组建统一监管体系、构建科学的多层次市场格局、鼓励市场功能发挥良好的市场先行先试等措施。通过发挥机制作用,引入市场竞争的理念,充分发挥市场功能,助力中小企业健康、快速和可持续发展。
[Abstract]:In order to solve the problem of difficult financing and expensive financing for small and medium-sized enterprises with the emphasis on "innovative, entrepreneurial, and growth-type" joint-stock companies, to promote the adjustment of the national industrial structure and the transformation of the mode of economic development, and to activate private investment. Increase the proportion of direct financing, give play to the decisive role of the market in the allocation of resources, The regional over-the-counter market approved by the provincial people's government came into being at the historic moment. On 2014, the State Council's opinions on further promoting the healthy Development of the Capital Market (Guofa [2014] 17) clearly pointed out that "on the basis of cleaning up and rectifying," Bring the regional equity market into the multi-level capital market system. "this provides an excellent opportunity for the development of the regional over-the-counter market at the base of the multi-level capital market." this paper focuses on the construction of the regional over-the-counter market. This paper analyzes the present situation of its development, compares the operation of the representative regional over-the-counter market, and points out that the regional over-the-counter market in our country has some problems such as unclear laws and regulations, inadequate supervision and management. At the same time, it puts forward corresponding solutions, including perfecting the legal regulations, clarifying the functional orientation, strengthening the top-level design, and setting up a unified supervision system. Constructing a scientific multi-level market pattern, encouraging the market function to play a good market first first trial and other measures, through exerting the mechanism function, introducing the market competition idea, giving full play to the market function, helping the small and medium-sized enterprises to be healthy, Rapid and sustainable development.
