【摘要】：创业投资(Venture Capital),又被广义的称为“风险投资”。中国的创业投资开始于20世纪80年代,兴起于1998年以后,到现在已经走过了近30年的时间。然而,随着创业投资在我国的不断发展,许多创业投资公司在市场经济的浪潮中被淘汰,这其中的重要原因在于,投资者在做出投资决策之前,对被投资企业的尽职调查不够全面深入或实施的效果不好,从而对企业的投资价值产生了错误的判断,直接导致了投资没有达到预期效果甚至失败。由此可见,创业投资的尽职调查工作,对降低投融资双方的信息不对称,真实了解被投资企业的经营状况和发展前景,最大可能的降低投资风险等起着至关重要的作用,是创业投资者能否实现投资收益最大化的基础所在。本文所研究的连云港JH创业投资公司成立于2006年,是江苏省第一家在发改委备案的创投企业。经过近8年的发展,JH创投从无到有,逐渐在竞争激烈的创业投资行业站稳了脚跟,并成功投资参股2家在中小板上市的高科技企业。但受自身以及市场环境等客观因素制约,JH创投始终无法做大做强。笔者通过在JH创投的工作经历,结合实际案例,对JH创投的尽职调查进行描述和分析,提出建议方案和改进措施,力求建立一种较为规范的尽职调查流程内容。本文的内容安排如下：第一部分,绪论。阐述本文研究背景和意义,研究思路和创新点。第二部分,创业投资和尽职调查工作概述。阐述创业投资及尽职调查工作的相关概念。第三部分,JH创投尽职调查现状分析。结合具体案例描述JH公司尽职调查工作实施情况,并分析目前该公司开展的尽职调查工作所存在的主要问题。第四部分,JH创投尽职调查方案设计。针对所存在的问题,提出JH公司尽职调查工所需重点关注的调查要点并设计相应调查提纲。第五部分,结论与展望。本文的创新之处在于,运用案例分析法研究笔者工作单位的具体业务内容,揭示的问题真实且具有代表性；运用信息不对称理论、SWOT分析等方法对JH创投的尽职调查流程和内容进行重新设计,并根据分析设计相应的尽职调查提纲。
[Abstract]:Venture capital investment is also called venture capital investment in a broad sense. Venture capital in China began in the 1980's, began in 1998, and has gone through nearly 30 years. However, with the continuous development of venture capital in China, many venture capital companies have been eliminated in the wave of market economy. The due diligence of the invested enterprises is not thorough enough or the effect of the implementation is not good, which leads to the wrong judgment of the investment value of the enterprises, which directly results in the investment not reaching the expected effect or even failing. It can be seen from this that due diligence of venture capital plays an important role in reducing information asymmetry between investment and financing parties, truly understanding the business situation and development prospects of invested enterprises, and reducing investment risks as far as possible. It is the foundation that the venture capital can realize the investment income maximization. Lianyungang JH Venture Capital Company was established in 2006 and is the first venture capital enterprise in Jiangsu Province. After nearly 8 years of development, JH venture capital has gradually established its foothold in the highly competitive venture capital industry, and has successfully invested in two high-tech enterprises listed on small and medium-sized boards. But by itself and the market environment and other objective factors constraints JH VCs have always been unable to make big and strong. The author describes and analyzes the due diligence of JH Venture through the work experience of JH Venture Capital and the actual cases, and puts forward some suggestions and improvement measures to establish a more standardized due diligence flow. The content of this paper is arranged as follows: the first part, introduction. This paper expounds the background and significance of the research, research ideas and innovative points. The second part is an overview of venture capital and due diligence. The related concepts of venture capital and due diligence are expounded. The third part is the analysis of JH due diligence. This paper describes the implementation of due diligence in JH Company and analyzes the main problems existing in the due diligence work carried out by JH Company. The fourth part is the design of JH due diligence scheme. Aiming at the existing problems, this paper puts forward the key points of JH due diligence and designs the corresponding survey outline. The fifth part, conclusion and prospect. The innovation of this paper lies in the use of case analysis method to study the specific business content of the author's work unit, revealing the problem is true and representative; The due diligence process and content of JH Venture are redesigned by using the information asymmetry theory and SWOT analysis, and the corresponding due diligence outline is designed according to the analysis.
