浙江地区家族企业继承人问题研究

【摘要】:家族企业作为一种企业组织形式,虽然一直引起学术界不停的争议,但这不能阻挡家族企业迅速发展的态势,克林·盖尔西克在《家族企业的繁衍》一书中指出:“即使最保守的估计也认为,由家庭所有或经营的企业在世界企业中占有65%至80%之间,世界500强企业中有40%由家族所有或经营。”家族企业已经在世界经济发展中起到了重大作用。截止到2013年年底,按照全国工商总局统计数据,我国登记注册的私营企业达到1253.9万户,比上年增长15.5%,个体工商户则达到4436.3万户,比上年增长9.3%。在这些数据中,家族企业的比重已占到90%以上,这其中还剔除了部分民营企业,这部分企业都是家族式管理的,由此可见,家族企业已经成为中国最具活力的经济增长极。浙江省私营企业占据半壁江山,国民经济的各行业中都存在着民营经济,尤其是在那些占全省GDP总量50%以上的第二产业。而且在浙江省,以家族企业为核心的民营经济发展更是取得了令人惊奇的成绩。1978年改革开放以来,浙江省经济飞速发展,始终成为全国经济发展形势最好、增长最快的省份之一。2013年浙江全省生产总值约为37568亿元,与1978年的123.73亿元相比,多了将近303倍,在全国排位上,也从1978年的第12位上升到现在的第4位,这些数字的变化其中自然少不了民营经济的功劳。自改革开放以来,尤其是20世纪80年代初左右,浙江省各地区纷纷开始最早的一批农民企业主和民营企业,民营经济也随之碰壁发展,截止到2013年年末,浙江省登记注册的私营企业户数为936300户,并且平均每户注册资金也达到287.5万元。但是近年来,我国家族企业继承人问题凸现。其主要原因是第一代创业企业家经过30多年的企业经营管理,生命体正进入自然的衰退期,他们正在面临如何选择继承人并且使企业顺利过渡的问题——家族企业继承人问题,是选择内部继承还是外部招聘,选择忠诚还是能力、选择情感还是理智等困境,尤其中国特有的“家国”传统文化、计划生育政策以及缺乏信任基础的经理人市场结构,更使得中国的家族企业继承人问题矛盾重重。因此,为了家族企业能够持续发展、实现基业长青,本文以我国家族企业继承人问题为研究对象,探索家族企业继承人所存在的问题以及面临的困境,通过对这些问题的深入探析和研究,试图找寻出相应的对策,来帮助我国家族企业在传承过程中解决继承人问题困境。本文在大量总结相关文献资料的基础上,首先进行相关理论概述,其次运用实证研究分析浙江地区家族企业继承人问题的内涵特征、影响因素以及传承机制,然后分别介绍日本、美国和欧洲家族企业在继承人问题上所体现的经验特征,为研究提供一定的经验借鉴,接着分析存在这些家族企业继承机制的原因以及优劣势,最后结合东方管理理论的治家和治身两个层面思想,结合“治家理念”、“家业管理”、“家风建设”、“自我管理”、“治身理想”、“治身途径”和“治身之道”等观点,提出解决家族企业继承人问题的方法和建议,也为我国家族企业持续成长和百年传承提供一些探讨式建议。
[Abstract]:As a form of corporate organization, family business has always caused a continuous debate in the academic world, but it does not stop the rapid development of family businesses. Colin Gaierxike pointed out in the book of family business: "even the most conservative estimate holds that all or business enterprises in the family occupy 65% of the world's enterprises." To 80%, 40% of the world's top 500 enterprises are owned or operated by family. "Family enterprises have played a major role in the development of the world economy. By the end of 2013, according to the statistics of the National Administration for Industry and commerce, the registered private enterprises in China have reached 12 million 539 thousand, up 15.5% and 44 million 363 thousand from the previous year. In these data, the proportion of family enterprises has already accounted for more than 90% in these data, which also excludes some private enterprises, and this part of the enterprises is family based management. This shows that family enterprises have become the most dynamic economic growth pole in China. The private enterprises in Zhejiang province occupy half of the country and the national economy in all walks of life in Zhejiang province. There is a private economy in the industry, especially in the second industry which accounts for more than 50% of the total GDP in the province. Moreover, in Zhejiang Province, the development of the private economy with family enterprises as the core has made a surprising achievement in the period of.1978 reform and opening up, the economic development of Zhejiang province has developed rapidly, and has always been the best economic development in the country and the most increasing growth. In.2013, one of the provinces in Zhejiang was about 37568 billion yuan, which was nearly 303 times more than the 12 billion 373 million yuan in 1978. In particular China's unique "family" traditional culture, family planning policy and the lack of trust based manager market structure, China's family business inheritors have more contradictions. Therefore, in order to continue the development of family enterprises and realize the evergreen industry, this article is inherited by family enterprises in our country. The human problem is the research object, exploring the problems and difficulties faced by the heirs of the family business. Through in-depth analysis and Research on these problems, we try to find out the corresponding countermeasures to help our family enterprises to solve the plight of the successors in the process of inheritance. First, the relevant theory is summarized, then the empirical study is used to analyze the connotative features, influencing factors and inheritance mechanism of the family business successors in Zhejiang, and then the empirical characteristics of the successors in Japan, the United States and the European family enterprises are introduced, which provide some experience for the study and then analyze the existence of the problems. The reasons and advantages and disadvantages of these family enterprise inheritance mechanism, finally combined with the two aspects of the family management theory of the oriental management theory and the treatment of the body, combined with the ideas of "family concept", "family management", "family construction", "self management", "self treatment ideal", "treatment of body way" and "the way of curing body", and so on, to solve family business successes. The methods and suggestions of inheriting the problems also provide some exploratory suggestions for the sustainable growth of family businesses and inheritance in China in the past century.
