【摘要】:美国著名经济学家斯蒂格勒在《通向垄断和寡占之路一兼并》中提出为成长为大型企业,现代经济史上一个突出现象是企业通过兼并竞争对手的方式实现;在美国,没有依靠企业内部扩张起来的企业,所有大公司都是通过兼并收购的方式成长起来的。自2004年,中央一号文件连续14年以服务农业为出发点。党中央、国务院以及各部委也不断出台相关政策用于支持农业发展。我国经济贸易体系像一座高楼,供销系统企业就是高楼最重要最牢靠的地基,它立基在农村,与“三农”联系十分紧密,供销系统企业像桥梁联结着党和政府与农民,推动着我国农村经济的发展。本文着重对我国供销系统企业在现阶段改革中并购重组问题进行研究,寻找一条适合供销合作社体制下的改革模式,从而带动供销系统企业生产经营结构的调整,使企业经营管理得到改变,达到生产要素的优化组合,使供销合作社保持健康可持续的发展。本文作者在供销系统企业工作,对供销系统企业并购重组进行了深入研究。分析了供销系统企业的特点、并购重组的特点,阐述了供销系统企业并购的动因及必要性、分析了供销系统企业存在的问题及原因,结合所在企业并购重组案例分析,提出了推进供销系统企业并购重组的对策建议,为我国供销系统企业改革与发展提供了新思路。
[Abstract]:Stiegler, a famous American economist, proposed to grow into a large enterprise in a merger to the road to monopoly and oligopoly. In the modern economic history, a prominent phenomenon is that the enterprise realized through the merger of competitors; in the United States, there is no enterprise expanding within the enterprise, and all the big companies are through mergers and acquisitions. Since 2004, the Central Committee of the Central Committee, the State Council and the ministries and commissions have also continuously promulgated relevant policies to support agricultural development for 14 consecutive years. The economic and trade system in China is like a tall building, and the supply and marketing enterprise is the most important and most reliable foundation of the high building. It is based in the countryside and "three" Agriculture is closely linked, and the supply and marketing enterprises are linked with the party and the government and the peasants to promote the development of the rural economy in China. This paper focuses on the study of the merger and reorganization of the supply and marketing enterprises in the current stage of reform in China, and seeks a reform model suitable for the supply and marketing cooperative system, thus driving the supply and marketing enterprise. The adjustment of the production and operation structure makes the enterprise management and management change, achieve the optimal combination of production factors, and keep the supply and marketing cooperatives healthy and sustainable. The author of this article has studied the merger and acquisition and reorganization of the supply and marketing enterprises in the supply and marketing system, and analyzed the characteristics of the supply and marketing enterprise and the characteristics of the merger and acquisition and reorganization. This paper expounds the motivation and necessity of the merger and acquisition in the supply and marketing system, analyzes the problems and causes of the enterprises in the supply and marketing system, and combines with the case analysis of the enterprise merger and acquisition and reorganization, and puts forward the countermeasures and suggestions to promote the merger and reorganization of the supply and marketing enterprises, and provides a new way of thinking for the reform and development of the supply and marketing enterprises in China.
