票据保证法律问题研究

【摘要】：票据是现代经济流通过程中主要使用的一种金融工具,在促进经济发展的过程中起到了重要作用。作为规范票据流通的重要法律,《中华人民共和国票据法》在其出台至今的十八年中对于票据流通做出了巨大贡献。然而由于这部法律制定之初,我国整体经济状况并不发达,对于票据的使用相对较少,因此很多规定并不完善,存在一些漏洞,使其无法适应现在的商事需求。基于此,本文选定票据保证制度作为研究方向,分析了这一制度存在的三个法律问题。研究目的在于通过探讨现行规定存在的不足,对于这三个法律问题提出笔者的意见和建议,以使今后更好地完善法律,保障票据当事人的利益。本文整体采用总分结构。第一部分是总体概括的一章,简要概括了票据保证制度,着重阐述了票据保证的概念和特征,以及我国《票据法》第四章和其他相关法律是如何对于这一制度进行规定,这些规定存在哪些问题。在这一章的结尾部分引出在票据保证制度中需要探讨的三个法律问题,依次是票据保证与民事保证的关系、隐存保证和部分保证问题。第二部分依据具体案例讨论票据保证和民事保证的关系问题。票据保证脱胎于民事保证,二者有一些相似的地方,导致在实践中难以区分,并可能产生纠纷。因此本部分着重阐述票据保证和民事保证的区别,并在最后阐明笔者对此问题的看法。第三部分主要探讨隐存保证法律问题。虽然隐存保证这一概念在理论中被提出,实践中广泛存在,但是法律未对此问题进行规定。因此笔者从分析该制度与票据保证的区别入手,重点阐述了在《票据法》中增加隐存保证有关规定的必要性,最后提出笔者关于此问题的立法建议。第四部分研究部分保证法律问题。通过从部分保证的概念入手,分析探究了我国法律对此规定欠缺的现状。为了增设《票据法》对部分保证的规定,因此对其他国家和地区的相关法律进行了比较和分析。着重论述了部分保证制度在我国存在的必要性,并在本章最后提出相应的立法建议。
[Abstract]:Bill is a kind of financial instrument which is mainly used in the process of modern economic circulation. It plays an important role in the process of promoting economic development. It is an important law to regulate the circulation of bills. The negotiable instrument Law of the people's Republic of China has made great contributions to the circulation of bills in the 18 years since its promulgation. However, the overall economic situation of our country was not developed at the beginning of this law. For the relatively small use of bills, many provisions are not perfect, there are some loopholes to make it unable to adapt to the current commercial requirements. Based on this, this paper chooses the bill guarantee system as the research direction. This paper analyzes the three legal problems existing in this system. The purpose of the study is to put forward my opinions and suggestions on these three legal problems by discussing the shortcomings of the existing regulations, so as to improve the law better in the future. To protect the interests of the parties to the bill. The first part is a general summary of the chapter, a brief summary of the bill guarantee system, focusing on the concept and characteristics of the bill guarantee. And how to regulate this system in Chapter 4th and other relevant laws of our country. At the end of this chapter, there are three legal problems that need to be discussed in the negotiable instrument guarantee system, which is the relationship between the bill guarantee and the civil guarantee. Implicit guarantee and partial guarantee. The second part discusses the relationship between negotiable instrument guarantee and civil guarantee according to specific cases. Bill guarantee is born out of civil guarantee. There are some similarities between the two, which lead to the difficulty of distinguishing in practice. Therefore, this part focuses on the difference between negotiable instrument guarantee and civil guarantee, and finally clarifies the author's views on this issue. The third part mainly discusses the legal problem of implicit existence guarantee. Although the concept of implicit guarantee is put forward in theory, it exists widely in practice. But the law does not provide for this issue. Therefore, the author starts with the analysis of the difference between the system and the bill guarantee, and focuses on the necessity of adding the implicit guarantee in the Bill Law. Finally, the author puts forward the legislative suggestions on this issue. Part 4th studies the legal problems of partial guarantee. By starting with the concept of partial guarantee, this paper analyzes and explores the current situation of the lack of this provision in Chinese law. In order to add the provisions of "negotiable instrument Law" to the partial guarantee. Therefore, this paper compares and analyzes the relevant laws of other countries and regions, emphatically discusses the necessity of the existence of partial guarantee system in our country, and puts forward corresponding legislative suggestions at the end of this chapter.
