信托基金化业务模式中受托人义务研究

【摘要】：本文主要研究了信托公司在基金化业务模式中的受托人义务这一问题,指出了信托公司传统集合资金信托业务模式与基金化业务模式的区别所在,并在此基础上对监管部门要求信托公司履行的“刚性兑付”义务之问题所在进行了剖析,最后提出了一些关于推动基金化业务在我国发展的制度建议。首先,本文分析了信托公司集合资金信托计划的基本特征与主要缺陷。本章通过对信托公司传统业务模式的主要问题进行分析,提出传统集合资金信托计划不利于信托制度优势的充分发挥,也不利于信托公司作为受托人切实履行其受托人义务。其次,针对传统信托业务模式的缺陷所在,本文引入介绍了基金化信托业务这一新型的业务模式。本章通过对信托公司基金化业务模式的基本特征进行介绍,指出了基金化信托业务模式的特点刚好能够克服传统业务模式的不足之处。另外,本章通过对部分信托公司前期开展的基金化信托业务典型案例介绍,进一步对基金化业务模式的特征予以展示。然后,为本文的关键环节所在,着重介绍了基金化信托业务模式下信托公司的受托人义务问题。第一,本章对于监管部门要求信托公司履行“刚性兑付”义务的问题进行了详细介绍,指出“刚性兑付”的监管要求没有法理依据并与信托制度的法理相悖,不利于基金化业务模式的开展。第二,本章对于信托公司开展基金化业务时应当履行的受托人义务进行了分析,并从受托人的忠实守信义务、谨慎管理义务、信息披露义务与谨慎选择第三人义务四方面进行了论述。最后,本文在第四章提出了部分政策建议,希望通过制度的完善以推动信托公司基金化业务的开展。
[Abstract]:This paper mainly studies the fiduciary obligation of the trust company in the fund business model, and points out the difference between the trust company's traditional pooled fund trust business model and the fund business model. On the basis of this, the paper analyzes the problem of "rigid payment" obligation that the supervision department requires the trust company to perform, and finally puts forward some system suggestions on promoting the development of the fund business in our country. First of all, this paper analyzes the basic characteristics and main defects of the trust plan of the collective funds of the trust company. This chapter analyzes the main problems of the traditional business model of the trust company through the analysis of the main problems of the traditional business model of the trust company. It is not good for the trust system to give full play to the advantages of the trust system or for the trust company as a trustee to fulfill its fiduciary duty. Secondly, aiming at the defects of the traditional trust business model, this paper introduces the fund trust business, which is a new business model. This chapter introduces the basic characteristics of the trust company fund business model. It points out that the characteristics of the fund trust business model can just overcome the shortcomings of the traditional business model. In addition, this chapter introduces the typical cases of the fund trust business carried out in the early stage of some trust companies. Further features of the fund business model to be displayed. Then, for the key link of this paper, this paper mainly introduces the fiduciary obligation of trust company under the business mode of fund trust. This chapter introduces in detail the problem that the supervision department requires the trust company to fulfill the obligation of "rigid payment", and points out that the supervision requirement of "rigid payment" has no legal basis and is contrary to the legal principle of the trust system. Second, this chapter analyzes the fiduciary obligation that the trust company should perform when carrying out the fund business, and from the fiduciary duty of faithful and trustworthy, the duty of careful management, The obligation of information disclosure and the duty of choosing the third party carefully are discussed in four aspects. Finally, this paper puts forward some policy suggestions in Chapter 4th, hoping to promote the trust company fund business through the improvement of the system.
