【摘要】：私募股权投资基金(简称私募基金）这几年发展异常迅速，但是对私募股权投资基金采用那种组织形式成了大家热烈讨论的话题，私募股权投资基金到目前为止主要的组织形式有三种：公司制、信托制和有限合伙制，在目前如火如荼的中国资本市场,这三种形式均有存在，论文正文首先概述私募股权投资基金，通过对私募股权投资基金组织形式的概念和特点分析说明,,在第二个部分着重分析了在选择组织形式考虑那些要素，接着分析私募股权投资基金的公司制、信托制和有限合伙制这三种组织形式在应用中的不同特点以及目前在我国发展的现状，通过运用比较的方法来论述公司制和信托制的组织形式不适用私募股权投资基金的发展，而有限合伙制比起公司制、信托制以及普通合伙制有着无可比拟的优势，是未来选择和发展的首选。最后一个部分着重分析了目前有限合伙制存在的问题和解决方案。组织形式的重要是因为私募股权投资基金的组织形式关系到基金各方的投资利益和其自身的运作效率，组织形式的不同选择意味着各方权利和义务的不同，同时风险的分担也会发生变化，因此如何选择适合我国国情的私募股权投资基金组织形式对我国经济的未来发展有着重大意义。在我国这样风起云涌的资本社会，研究私募股权投资基金组织形式，进而选择适合我国发展的组织形式就成了一个迫切需要解决的问题。
[Abstract]:Private equity funds (referred to as private equity funds) have developed very rapidly in recent years, but the use of private equity funds in that form of organization has become a hot topic for discussion. Private equity funds have three main forms of organization so far: corporate, trust and limited partnership, all of which exist in China's booming capital market. The main body of the paper first summarizes the private equity investment fund, through the analysis of the concept and characteristics of the organization form of private equity investment fund, in the second part, it focuses on the analysis of which elements to consider in the choice of the organization form. Then it analyzes the different characteristics of private equity investment fund in the application of corporate system, trust system and limited partnership system, as well as the current situation of development in China. This paper discusses that the organizational forms of corporation system and trust system are not suitable for the development of private equity investment fund by using comparative method, while limited partnership system has unparalleled advantages over the company system, trust system and ordinary partnership system. Is the choice of choice and development in the future. The last part focuses on the analysis of the existing problems and solutions of limited partnership. The organizational form is important because the organization form of the private equity investment fund is related to the investment interests of the parties and the efficiency of its own operation. The different choice of the organization form means that the rights and obligations of the parties are different. At the same time, the risk sharing will also change, so how to choose the organization form of private equity investment fund which is suitable for the situation of our country is of great significance to the future development of our economy. In such a surging capital society in China, it is an urgent problem to study the organization form of private equity investment fund and choose one suitable for the development of our country.
