【摘要】:2013年两会期间,多名委员联名提交《关于修改〈信托法〉的提案》,其中涉及到的一项重要的亟待解决的制度性问题就是信托财产登记制度。目前我国尚未形成统一规范的信托财产登记制度,但在信托实践中,涉及信托财产登记的领域越来越多。现行财产权属登记机构一般以没有相关规定无法操作为由,拒绝进行信托财产登记,这就导致许多需要登记才能设立信托的财产和财产权被排除在信托活动之外,严重抑制了信托功能的发挥和信托活动的开展。 本文采用比较分析的研究方法,通过对以英国和美国为代表的英美法系国家信托财产登记立法实践的分析,与以日本和我国台湾地区为代表的大陆法系国家和地区关于信托财产登记立法实践的对比分析,揭示了信托财产登记制度的主要内容和理论基础,同时根据我国信托制度以及信托行业的发展现状,提出完善我国信托财产登记制度的建议。 本文包括引言、正文和结论三个部分,,其中正文部分包含了四章内容。其中,本文的研究成果主要集中在正文的第四章,即如何完善我国信托财产登记制度。本文主要从信托财产登记的效力、登记的对象和登记的主体三个方面来考虑完善我国的信托财产登记制度。对于登记效力,本文建议修改现有的登记要件主义效力模式,对不同财产分别采用不同的效力模式;对于登记对象,本文建议以物权变动登记对象为基础进行适当调整;对于登记主体,本文建议明确主管登记机关和登记申请人。 本文论述的重点内容包括信托财产登记制度的主要内容、理论基础、域外考察和我国信托财产登记制度的现状和完善建议。通过对这些重点内容的分析,得出如下重要结论:首先,我国信托行业近年来快速增长,出于维护交易安全和提高交易效率的考虑,我国迫切需要完善信托财产登记制度;其次,信托财产登记制度并非物权公示制度的下位概念,虽然在一定程度上信托财产登记具有物权公示的意义,但信托财产登记还具有标识信托财产独立性的效果,这已经超出了传统物权公示理论的范畴;最后,信托财产登记制度在一定程度上调和了大陆法系一物一权理论和英美法系双重所有权理论之间的冲突,促使大陆法系传统理论与英美法系的信托制度相衔接。
[Abstract]:During the two sessions in 2013, many members jointly submitted the proposal on amending the Trust Law, which involves an important institutional problem that needs to be solved urgently is the trust property registration system. At present, China has not formed a unified and standardized trust property registration system, but in the practice of trust, there are more and more fields involved in the registration of trust property. The existing property rights registration agencies generally refuse to register trust property because there are no relevant regulations, which leads to the exclusion of many property and property rights that need registration to establish trust. It seriously inhibits the function of trust and the development of trust activities. This article adopts the comparative analysis research method, through the analysis to the British and the American legal system countries trust property registration legislation practice, Comparing with the legislation practice of trust property registration in civil law countries and regions represented by Japan and Taiwan, this paper reveals the main content and theoretical basis of trust property registration system. At the same time, according to the development of trust system and trust industry in China, the author puts forward some suggestions to perfect the registration system of trust property in our country. This paper includes three parts: introduction, text and conclusion, in which the text contains four chapters. Among them, the research results of this paper mainly focus on the fourth chapter of the text, that is, how to improve the registration system of trust property in China. This article mainly from the trust property registration effectiveness, the registration object and the registration main body three aspects to consider consummates our country trust property registration system. For the registration effect, this paper proposes to modify the existing registration elements of the effectiveness model, to different property, respectively, for the registration object, this paper proposes to change the registration object as the basis for appropriate adjustment; For the registration subject, this paper suggests that the competent registration authority and the registration applicant. The main contents of this paper include the main contents of the registration system of trust property, the theoretical basis, the overseas investigation and the present situation of the registration system of trust property in our country and the suggestions to improve it. Through the analysis of these key contents, the following important conclusions are drawn: first, the trust industry in China has been growing rapidly in recent years, in order to maintain the transaction security and improve the transaction efficiency, China urgently needs to improve the trust property registration system; Secondly, the registration system of trust property is not the lower concept of the system of publicizing real right. Although the registration of trust property has the significance of publicizing real right to a certain extent, the registration of trust property also has the effect of marking the independence of trust property. This has gone beyond the scope of the traditional theory of publicizing real right; finally, the registration system of trust property has to a certain extent raised and conflicted with the theory of "one thing, one right" in the continental law system and the dual ownership theory in the common law system. To link the traditional theory of civil law system with the trust system of common law system.
