华侨股权继承权益保护机制研究

【摘要】：自建国以来,我国就陆续制订颁布优惠政策以吸引华侨回国投资兴业。特别在改革开放以后,随着国内政治环境趋于稳定,华侨回国投资的热情空前高涨,他们所带来的资金、生产技术和管理经验在我国的政治、经济、文化等各领域发挥了重大作用。但随着岁月的流逝或者意外事件的发生,华侨投资者也难免会故去,其回国投资兴业创造积累的财富所遇到的继承问题也日益显现出来。本文着重关注有关华侨在回国投资设立的合资有限公司中所遗留股权的继承问题,以我国现行法律法规为基础,并结合笔者在司法实践中经历的案件,实证分析目前华侨继承人在继承股权时所遇到的问题及障碍,并以此进一步分析该类问题产生的原因,提出完善立法等建议。以期今后此类问题能得以顺利解决,华侨的合法权益能得到切实保护,使得华侨为我国的可持续发展继续作出贡献。全文除引言和结语外,共分为五章：第一章,简略阐述华侨的历史发展,并对华侨的身份在法律上的定义以及我国的华侨权益保护原则进行阐述；第二章,阐述我国对于华侨股权继承权益保护方面的立法现状,分析华侨股权继承权益保护立法方面所存在的问题；第三章,以外资审批制度为切入点,阐述并分析华侨股权继承权纠纷的行政执法现状,揭示涉及华侨股权继承权益行政执法方面所存在的问题；第四章,通过叙述笔者所承办的案件,对华侨股权继承在司法实践中遇到的障碍和困惑进行分析,指出涉及华侨股权继承权益纠纷司法实践方面所存在的问题；第五章,针对前述关注的问题,试图对如何完善华侨股权继承权益的保护机制进行一定的探索和思考,进而提出完善的建议和应对策略。最终目的是使华侨股权继承权益得到切实的保护,保护其爱国爱乡的投资热情,继续投入回国投资兴业的热潮中,为我国的可持续发展,为共同实现中华民族的伟大复兴的中国梦作出新的贡献。
[Abstract]:Since the founding of the People ' s Republic of China , our country has enacted preferential policies to attract overseas Chinese to invest in the country . Especially after the reform and opening up , the enthusiasm of overseas Chinese returning to China has been increasing as the domestic political environment becomes stable , and the funds , production technology and management experience brought by them play a major role in the political , economic , cultural and other fields of our country . However , with the passage of the years or the occurrence of accidents , the overseas Chinese investors will inevitably go abroad , and the problems of inheritance which have accumulated wealth in the return of investment and investment in China are becoming increasingly evident .

This paper focuses on the inheritance of the stock rights of overseas Chinese in the joint venture company established by the overseas Chinese , based on the current laws and regulations of our country , and combines with the author ' s experience in judicial practice .

In the first chapter , the historical development of overseas Chinese is briefly described , and the definition of overseas Chinese identity in law and the principle of protecting the rights and interests of overseas Chinese are expounded .

The second chapter expounds the current situation of China ' s legislation on the protection of the rights and interests of overseas Chinese stock rights , and analyzes the problems existing in the legislation of protecting the rights and interests of overseas Chinese stock rights ;

The third chapter expounds and analyzes the current situation of administrative law enforcement of overseas Chinese equity inheritance rights disputes by taking the approval system of foreign capital as the entry point , and reveals the problems related to the administrative law enforcement of overseas Chinese equity inheritance rights .

In the fourth chapter , through the analysis of the obstacles and confusion encountered in the judicial practice of the inheritance of overseas Chinese stock rights , the author points out the problems related to the judicial practice concerning the inheritance rights dispute of overseas Chinese stock rights .

The fifth chapter , aiming at the above - mentioned problems , attempts to explore and reflect on how to perfect the protection mechanism of the inheritance rights and interests of overseas Chinese stock rights , and then puts forward the perfect suggestions and countermeasures . The final aim is to make the overseas Chinese equity inheritance rights and interests be effectively protected , protect their patriotic love countryside investment enthusiasm , continue to invest in the hot tide of returning home investment , and make a new contribution to China ' s sustainable development and to realize the great rejuvenation of the Chinese nation .
