中国石化集团公司系列重组动因与协同效应研究

【摘要】:公司重组究其实质就是按照市场的规律将公司原来的各类资源要素重新组合,使其能够达到最大程度的优化配置,提高公司的生产效率,从而实现公司的价值最大化。随着中国社会主义经济体制不断完善,企业参与市场竞争与合作的自主性极大提高,越来越多的企业开始通过产权交易和资产重组来优化组织结构和资源配置。中石化集团作为一家大型能源化工公司,自1998年分家,2000年开始正式涉足到资本市场,其充分利用资本市场的资金运作,靠强大的资金支持完成了上下游业务的拓展,增强了国际竞争地位,其发展模式也逐步走向了多元化。本文首先回顾国内外学者关于重组动因与协同效应经典理论,有针对性对该理论体系进行了整合,在此基础上形成一个较为系统的运用于研究企业重组动因与协同效应的理论分析框架。其次结合对该公司国内外系列重组事件的梳理,重点选择系列重组中具有代表性的案例进行分析,运用理论框架从新的视角定性分析企业实施重组前的战略动机以及协同价值。最后得出本文的结论与可供未来企业进行重组实现协同价值的参考建议。本篇论文是站在重组企业的角度,从重组企业的发展战略出发,以实现协同效应的视角分析中石化集团系列重组事件,明确企业进行重组的目的是根据可持续发展需求理性地选择适合自己的重组模式与目标企业,在国际油品市场前景不乐观的形势下寻找到新的增长点,从主要靠加工制造创造价值转向主要靠技术创新和服务增加价值,实现企业资源的最佳配置。同时也为我国其他石油企业未来制定重组战略规划提供了理论基础和实践支持。
[Abstract]:The essence of corporate reorganization is to recombine all kinds of resource elements according to the laws of the market, so that it can optimize the allocation to the greatest extent and improve the production efficiency of the company. With the continuous improvement of China's socialist economic system, the autonomy of enterprises to participate in market competition and cooperation has been greatly enhanced. More and more enterprises begin to optimize their organizational structure and resource allocation through property rights transactions and asset restructuring. As a large energy and chemical company, Sinopec has been officially involved in the capital market since 1998 and has been formally involved in the capital market since 2000. It has made full use of the capital market's capital operation, has completed the expansion of upstream and downstream businesses with strong financial support, and has strengthened its position in international competition. Firstly, this paper reviews the classical theories of restructuring motivation and synergetic effect at home and abroad, and integrates the theory system. On this basis, it forms a theoretical analysis framework which is systematically used to study the motivation and synergy of enterprise restructuring. Secondly, it combs the series of reorganization events at home and abroad. Focus on the selection of representative cases in the series of reorganization for analysis, This paper uses the theoretical framework to qualitatively analyze the strategic motivation and synergetic value of enterprises before implementing reorganization from a new perspective. Finally, the conclusions of this paper and some suggestions for future enterprises to realize synergistic value are drawn. From the perspective of restructuring enterprises, Starting from the development strategy of the reorganization enterprise, this paper analyzes the series of reorganization events of Sinopec Group from the perspective of realizing synergistic effect. It is clear that the purpose of enterprise reorganization is to rationally select the appropriate reorganization mode and target enterprise according to the demand of sustainable development, and to find a new growth point under the situation that the prospect of international oil market is not optimistic. From creating value mainly by processing and manufacturing to increasing value mainly by technological innovation and service, the best allocation of enterprise resources is realized, which also provides theoretical basis and practical support for other petroleum enterprises in our country to formulate strategic plan of reorganization in the future.
