【摘要】：随着国家对节能环保政策的实施,有着多年燃气行业经营经验的RF公司正在迎来新的发展机遇和挑战。随着新加坡EQ投资公司的加入,RF公司的资金实力得到了加强。面对外资股东的上市要求和国内燃气市场的激烈竞争,RF公司试图通过收购兼并的方式快速占领燃气市场,而并购整合战略关系到企业的长期发展和股东回报的问题。在我国燃气行业,通过并购整合快速的实现企业扩张已经成为企业的必备资本运作工具,通过并购整合来迅速的进入区域燃气市场,降低企业扩张的壁垒和成本,提高企业的市场占有率,缩短企业投资建设审批的时间周期。本文以RF公司并购整合战略作为主要的研究对象,采用了超额利润的产业组织模型、资源基础模型和五力模型,分析研究RF公司并购整合战略以及并购整合的具体实施方案。文中首先介绍了战略管理和企业并购的相关理论概念,并在此基础上阐明了RF公司并购整合战略的理论基础和依据。其次利用企业战略管理的基础理论、基本模型和波特竞争五力模型对RF公司的企业内部环境和企业外部环境进行了深入的分析和阐述,找到RF公司内外部资源优势和公司的核心竞争力。通过RF公司拥有的核心竞争力来制定快速扩大城市燃气市场占有率的并购整合战略,选择能够获得超额利润的并购整合战略进行实施。通过以上的分析和研究,为RF公司制定并购整合战略指明了具体实施方案,同时也为其他企业在进行并购整合之前提供了参考方法。本文在通过深入的市场调研后挖掘了城市燃气行业的细分市场,并在此基础上为燃气终端用户提供了创新性的燃气产品和服务。
[Abstract]:With the implementation of the national policy on energy conservation and environmental protection, RF Company, which has many years of experience in gas industry, is facing new opportunities and challenges. With the entry of Singapore EQ Investment Company, the capital strength of RF Company has been strengthened. The fierce competition in the domestic gas market has led RF to try to quickly capture the gas market by means of mergers and acquisitions. The strategy of M & A integration is related to the long-term development of enterprises and the return of shareholders. In China's gas industry, rapid expansion through M & A integration has become a necessary capital operation tool for enterprises. Through merger and acquisition integration to quickly enter the regional gas market, reduce the barriers and costs of enterprise expansion, increase the market share of enterprises, In this paper, RF M & A integration strategy is taken as the main research object, the industrial organization model of excess profit, resource base model and five force model are adopted. This paper analyzes and studies the integration strategy of RF company and the specific implementation plan of merger and acquisition integration. Firstly, this paper introduces the related theoretical concepts of strategic management and enterprise merger and acquisition. On this basis, the theoretical basis and basis of the merger and acquisition integration strategy of RF Company are expounded. Secondly, the basic theory of enterprise strategic management is used. The basic model and Porter's five-force competition model deeply analyze and expound the internal environment and external environment of RF Company. To find the internal and external resource advantages of RF Company and the core competitiveness of the company. Through the core competitiveness of RF Company to formulate the merger and integration strategy to rapidly expand the market share of urban gas. Through the above analysis and research, the author points out the concrete implementation plan for RF company to formulate M & A integration strategy. At the same time, it also provides a reference method for other enterprises before merger and acquisition integration. This paper excavates the subdivision market of urban gas industry through in-depth market research. On this basis, it provides innovative gas products and services for gas end-users.
