均胜集团并购促成长战略研究

【摘要】:随着经济全球一体化浪潮的到来,企业所面临的经营环境更加复杂多变,很多企业由于没有快速应变的战略,使得企业的发展处于停滞状态,有的甚至一落千丈,频临倒闭。因此,企业如何才能持续成长已是我国经济发展过程中必须研究的重要课题。本文通过对均胜集团的研究,运用企业成长战略理论框架对该公司成长历程进行剖析,重点分析企业不同成长阶段所面临的内外部环境,适时选择实施国内并购与海外并购、产业并购与资本并购。该企业抓住契机,采取有效措施进行并购整合,充分发挥并购的战略效应与协同效应,促进了公司产业的转型升级与国际化,并顺利登陆资本市场,实现了企业的可持续成长。通过对均胜集团成长战略的研究,我们可以得出以下结论:(1)企业成长战略的选择必须在清晰的总体战略目标的指导下进行,以确保公司发展方向的正确性;(2)企业成长战略路径的选择要依据企业所处发展阶段的内外部环境及该阶段的具体战略目标;(3)并购战略是企业快速突破规模瓶颈与技术壁垒的有效成长方式;(4)采用外延式并购战略,并购标的与并购时机的选择非常重要;(5)有效的并购整合是并购战略成功的关键,而且整合必须贯穿于并购的整个过程。最后,笔者根据该企业的发展现状,探讨了有利于企业持续稳定成长的若干建议。
[Abstract]:With the arrival of global economic integration, the business environment faced by enterprises is more complex and changeable. Because many enterprises do not have a quick response strategy, the development of enterprises is in a stagnant state, some even plummet and close down frequently. Therefore, how the enterprise can grow continuously has become an important subject in the process of our country's economic development. Through the research of Junsheng Group, this paper analyzes the growth course of the company by using the theoretical framework of enterprise growth strategy, analyzes the internal and external environment that enterprises are facing in different growth stages, and chooses to implement domestic M & A and overseas M & A in good time. Industrial M & A and Capital M & A. The enterprise seize the opportunity, take effective measures to integrate M & A, give full play to the strategic and synergistic effects of M & A, promote the transformation, upgrading and internationalization of the company's industry, and successfully land on the capital market, and realize the sustainable growth of the enterprise. Through the research on the growth strategy of Junsheng Group, we can draw the following conclusions: (1) the choice of enterprise growth strategy must be guided by clear overall strategic objectives. In order to ensure the correctness of the development direction of the company, (2) the choice of the growth strategy path should be based on the internal and external environment of the development stage and the specific strategic objectives of the stage; (3) the M & A strategy is the rapid breakthrough of the bottleneck of enterprise scale. The effective growth mode of technical barrier; (4) adopting the strategy of extension merger and acquisition, The choice of target and timing of M & A is very important. (5) effective integration is the key to the success of M & A strategy, and the integration must run through the whole process of M & A. Finally, according to the present situation of the enterprise, the author discusses some suggestions which are conducive to the sustainable and stable growth of the enterprise.
