【摘要】:竞争是市场的核心,竞争机制的有效发挥是市场有效配置资源的基础,如何有效发挥市场竞争机制需要一个自由公平竞争的市场环境,市场经济本质上是法治经济,一套完整的市场经济法律体系是市场经济健康有效运行的前提,在实现自由公平竞争的市场环境方面离不开以维护自由公平竞争的市场秩序为主要目标的经济法中关于市场秩序规制法律制度也即竞争法律制度的保障。竞争中立制度作为国际竞争法与竞争政策在推动市场公平竞争方面的最新实践成果,随着我国国有企业改革的深入推进和国际上如火如荼的国际经贸治理规则的新一轮谈判的展开,竞争中立制度越来越需要我们的重视。正文第一章介绍了国有企业竞争中立制度中国化的研究基础,特别是详细梳理了国内外有关研究现状,并进行了评析。对国有企业竞争中立制度中国化研究的主要背景进行了介绍,即:国企改革之内忧,国际经贸治理规则之外患。由此引出研究主题:即国有企业竞争中立制度的中国化。第二章重点梳理和总结了国内外有关竞争中立的基本理论,厘清复杂理论的逻辑脉络,挖掘竞争中立理念及其制度的基本内涵。通过分析国际经验和国内现实,明确竞争中立制度的含义,即竞争中立制度是政府为实现市场在资源配置中的决定性作用,更好地发挥政府作用,以社会整体效益最大化和建立公平竞争市场为目标,不为特定市场主体创设不当竞争优势或劣势条件而实施的一系列制度体系。紧接着分析论证了竞争中立制度的特征,一般适用范围,基本构成,非竞争中立的表现形式以及竞争中立制度的理论基础。第三章考察了澳大利亚、OECD、TPP、欧盟以及发展中国家等不同版本的竞争中立在理念、制度和规则方面的差异及其背后隐含的逻辑理路,通过总结和分析不同版本之间的共性与个性,凸显不同发展阶段竞争中立理念及其制度选择的差异性,继而提出中国实施竞争中立制度的应有方向。第四章分析论证了竞争中立制度在我国实施的必要性与可行性。为实施我国竞争中立制度的实施路径提供理论支持。首先分析了我国竞争中立制度的现状,包括法律实践,政策实践,具体实践以及我国参与的自由贸易协定中的竞争中立制度,之后对竞争中立制度在我国现阶段实施的必要性和可行性进行分析论证,最后以上海为例分析探索竞争中立的必要性与可行性。第五章在前文论证的基础上提出我国竞争中立制度的实施路径。首先明确了我国在竞争中立问题上的基本立场,之后勾勒出我国竞争中立制度的基本构成,包括基本概念、适用范围、行为规则、实施机制、配套机制以及实施步骤。最后提出我国在国际经贸治理规则制定中的应对策略,即理性认识竞争中立制度对我国在国际贸易中的不利影响,倡导回归多边合作体系以防止区域孤立主义的滥用以及以竞争中立制度在国际经贸治理领域的兴起为契机变压力为动力推动国有企业深化改革的应对策略。
[Abstract]:Competition is the core of the market. The effective play of the competition mechanism is the basis of the efficient allocation of resources in the market. How to effectively play the market competition mechanism requires a free and fair market environment. The market economy is essentially a rule of law economy. A complete set of market economic legal systems is the prerequisite for the healthy and effective operation of the market economy. The market environment of free and fair competition is inseparable from the protection of the legal system of market order regulation, that is, the legal system of competition law, which is the main objective of maintaining the market order of free and fair competition. The competitive neutrality system is the latest practical achievement in promoting fair competition in the market as the international competition law and the competition policy. With the deepening of the reform of China's state-owned enterprises and a new round of negotiations on international economic and trade governance rules, the system of competitive neutrality is becoming more and more important. Chapter 1 of the text introduces the research foundation of the Chinese national enterprise competition neutrality system, especially the relevant research at home and abroad. The main background of the research on the Chinese state-owned enterprise competition neutrality system is introduced, namely: the internal worry of the reform of state-owned enterprises and the foreign countries of the rules of international economic and trade governance. This leads to the research theme: the Chinese national enterprise competition neutrality system. The second chapter focuses on the competition neutrality at home and abroad. The basic theory, clarifies the logical vein of the complex theory and excavate the basic connotation of the concept of competitive neutrality and its system. Through the analysis of international experience and domestic reality, the meaning of the system of competition neutrality is clarified, that is, the system of competition neutrality is the decisive role of the government for the realization of the market in the allocation of resources, better play the role of the government, and take the whole society as a whole. The aim is to maximize the benefit and establish a fair competition market, not to create a series of institutional systems for the creation of unsuitable competitive advantage or inferior condition for a specific market subject. Then the characteristics of the system of competition neutrality, the general scope of application, the basic composition, the form of non competition and the theoretical basis of the system of competition neutrality are analyzed and demonstrated. The third chapter examines the differences between the different versions of competition neutrality in Australia, OECD, TPP, the European Union and the developing countries, and the logical logic behind the differences in ideas, systems and rules. By summarizing and analyzing the commonness and individuality between different versions, the difference between the concept of competitive neutrality and the difference in the choice of the system in the different stages of development is highlighted. The fourth chapter analyzes the necessity and feasibility of the implementation of the system of competitive neutrality in China. It provides theoretical support for implementing the implementation path of China's competition neutrality system. First, it analyzes the status of China's competition neutrality system, including legal practice, policy practice, and the implementation of the system of competition neutrality in China. The practice of body practice and the competitive neutrality system in the free trade agreements that our country participates in, then analyze the necessity and feasibility of the implementation of the competitive neutrality system at the present stage in our country. Finally, the necessity and feasibility of exploring the competition neutrality are analyzed with Shanghai as an example. The fifth chapter puts forward China's competitive neutrality on the basis of the previous argument. First, the basic position of China's competition neutrality is clarified, and then the basic composition of China's competition neutrality system is outlined, including basic concepts, scope of application, rules of conduct, implementation mechanism, supporting mechanism and implementation steps. Finally, the countermeasures are put forward in the formulation of international economic and Trade Governance rules in China, That is, a rational understanding of the adverse effects of the competitive neutrality system on China's international trade, advocating the return of the multilateral cooperation system to prevent the abuse of regional isolationism and the turning of the competitive neutrality system in the field of international economic and Trade Governance as a turning point to promote the deepening reform of the state-owned enterprises.
