一次突破顶层投资政策壁垒的尝试——三一重工关联公司起诉CFIUS和奥巴马政府案例的启示

【摘要】：2014年7月15日,美国哥伦比亚特区联邦上诉法院就中国三一重工关联公司Ralls状告美国总统奥巴马及美国海外投资委员会(CFIUS)一案做出裁决,判定奥巴马政府侵犯了中资公司的合法权利,驳回政府以国家安全为由的政策性干预。尽管打破这种投资政策壁垒的过程一波三折,尽管对打破美国投资政策壁垒的前期预期压倒性看衰,但该诉讼的阶段性成果有多重层面的超出预期。更有诸多值得我们细致发掘的启示——不能用过往代替未来;不能在消极的习惯预期下形成悲观的心理暗示;过程很重要,主动是关键;即使败诉也未必就是坏事,它能让我们增长见识、自省不足、还能变相提高企业知名度;师夷长技以制夷——在法治国家必须使用法制手段;更重要的是该经验可以放大成为把投资政策壁垒撕开一道裂口的尝试。
[Abstract]:July 15th 2014. The US District of Columbia Federal Court of Appeal has ruled in the case of Ralls, a Chinese company associated with Sany heavy Industries, against US President Barack Obama and the Committee on Foreign Investment in the United States (Cfius). The Obama administration was found to have infringed on the legitimate rights of Chinese companies and rejected the government's policy intervention on national security grounds, despite the twists and turns in the process of breaking down such investment policy barriers. Despite the overwhelming decline in early expectations for breaking down barriers to investment policy in the United States. However, the stage results of the lawsuit are more than expected. There are many enlightenments that we should explore in detail-we can not replace the future with the past; Negative habits can not be expected under the formation of pessimistic psychological cues; Process is very important, initiative is the key; Even losing is not necessarily a bad thing, it can allow us to increase our knowledge, introspection, but also in disguise to improve the visibility of enterprises; In order to control Yi, we must use legal means in a country ruled by law; More importantly, the experience could be magnified as an attempt to tear apart an investment policy barrier.
