基于语料库的格式合同的(不)可理解性研究

在社会生活中,合同能够促成交易高效且低成本的进行。而格式合同是合同广泛运用的变体之一,常由法律专业人士精心撰写以规避可能存在的法律风险。格式合同中不可理解的或不清晰的术语和表达等这类语言因素极可能使非法律专业人士难以理解合同内容,从而不能履行合同或保护自己的权益。本文借助语料库语言学方法,研究分析格式合同的不可理解性以及可能导致这类不可理解性的因素。本文首先基于文献回顾的方法总结整理出22种可能造成文本不可理解性的因素,然后基于这些因素将不可解性分为七大类,并构建了研究框架。在对所收集的15篇(四类)格式合同进行研究分析后发现,其中“修饰语-名词短语与合成词”及“术语困难”是出现频次最高的两个因素。专业知识相关的不可理解性和词汇层面的不可理解性是出现频次最高的两类。此外,本文运用变异系数法,计算出各类合同及各篇合同的不可理解性指数以评估其不可理解性程度。通过对比不可理解性指数,保险类格式合同是最难理解的种类,而用户协议类格式合同是最简单的种类。基于以上研究发现,本研究建议合同起草者与非法律专业人士都应为合同的可理解性而共同努力,倡导监管者、立法者和语言学家共同合作,设立一套行之有效的标...
