主权债务危机的法律问题分析

【摘要】：主权债务不仅仅是一个经济学方面的问题,也涉及到法律层面的债务解决,作为一种涉及到各方面的现实性复杂纠纷,主权债务危机引发了诸多法律上的难题,也对各国的财政政策、法律监管以及国际上的争端解决机制的设计提出挑战。本文的目的在于明确主权债务的法律特征,并借鉴、反思现有的措施以积极寻求更完善的应对主权债务的措施。首先,本文从主权债务危机的产生发展背景与特征两个方面阐述主权债务的复杂性,归纳总结出因主权债务自身具有的复杂性所引发的冲击国家的豁免特权、主权债券违约诉讼的困境、法律适用空白、监管难题等法律问题。其次,本文阐述了国际上应对主权债务危机产生的债权债务纠纷的采用的措施,并进行正反两力面的评析,反思不足,借鉴优点。阐明了由国际货币基金组织设计的主权债务重组机制与主权债务重组的合同方法即集体行动条款,并分析了其主要内容和特点,再通过分析意大利债券持有人对阿根廷提起的仲裁案,探讨了解决投资争端国际中心仲裁在解决主权债务违约争端中发挥作用的可行性和前景。最后,结合上文从国际上的措施的特征与利弊分析提出完善现阶段应对主权债务危机主流措施的建议,具体包括:灵活利用主权债务与BIT投资协定的互动、促成完善主权债务诉讼相关之立法、审慎使用政府“看的见的手”、建立符合国情的本土化信用评级规范。
[Abstract]:Sovereign debt is not only an economic problem, but also a legal aspect of debt settlement. As a complex dispute involving various aspects, sovereign debt crisis has caused many legal problems. It also challenges the design of fiscal policy, legal supervision and international dispute settlement mechanism. The purpose of this paper is to clarify the legal characteristics of sovereign debt and learn from it. Reflect on the existing measures to actively seek more perfect measures to deal with sovereign debt. First, this paper from the emergence of sovereign debt crisis development background and characteristics of the complexity of sovereign debt. Summarized the sovereign debt itself because of the complexity of the impact on the national immunity privileges sovereign bond default litigation dilemma the blank application of the law regulatory difficulties and other legal issues. Secondly. This paper expounds the international measures to deal with the debt disputes arising from the sovereign debt crisis, and analyzes the positive and negative effects, reflecting on the shortcomings. This paper expounds the contract method of sovereign debt restructuring mechanism designed by the International Monetary Fund and the collective action clause, and analyzes its main contents and characteristics. By analyzing the arbitration case brought by the Italian bondholders against Argentina, this paper discusses the feasibility and prospect of the ICSID arbitration in resolving the sovereign debt default dispute. Based on the analysis of the characteristics and advantages of the international measures, this paper puts forward some suggestions to improve the current mainstream measures to deal with the sovereign debt crisis, including the flexible use of the interaction between sovereign debt and BIT investment agreements. To promote the perfection of the relevant legislation of sovereign debt litigation, the prudent use of the "see hand" of the government, and the establishment of a local credit rating standard in accordance with the national conditions.
