论《联合国国际货物销售合同公约》在适用范围上的新发展

【摘要】：《联合国国际货物销售合同公约》是国际货物买卖法统一过程中的一个重要法律文件,但文本上的统一只是实体法统一进程中的一个环节,另一个重要环节是公约在适用范围上也能存在统一。但由于公约起草年代久远,公约似乎渐渐不能满足时代发展的需要,以电子商务为代表的新的贸易形式、以服务贸易为首新的贸易内容,以及以广泛运用标准化合同为手段的新的订约规则,使得公约对一些交易的适用愈加不确定。本文拟就公约与服务贸易、公约与电子商务以及公约与标准合同这三个关系入手,结合目前国际贸易的大环境以及公约的目的宗旨或原则,探讨公约的具体适用范围。文章第一章主要介绍公约的基本信息,包括体系、特点、作用及评价,然后引出公约在贸易形式与贸易内容这两方面遇到的具体问题及挑战;第二章主要探讨公约与服务贸易的关系,从必要性与可行性两方面分析,主要依据公约的解释方法以及公约的目的宗旨,指出公约在目前的贸易环境下可以同时也应该调整服务贸易;第三章探讨公约与新兴的贸易交易方式——电子商务之间的关系,选取了几个问题加以重点论述,如如何认定公约“国际性”标准、如何解决电子商务“虚拟性”与货物销售“实质性”的冲突、书面形式问题、电子环境下的订约规则问题等;第四章涉及公约与国际贸易中广泛运用的标准合同之间的关系,在介绍了国际标准合同的有关概念及发展趋势后,重点谈及公约解决标准合同之争的规定以及缺陷,针对性的比较了其他国家贸易法的有关做法,最后对公约提出了一些建议措施。
[Abstract]:The United Nations Convention on contracts for the International Sale of goods is an important legal document in the process of the unification of the international law on the sale of goods, but the unification of the text is only a link in the process of the unification of substantive law. Another important link is that there can be uniformity in the scope of application of the Convention. However, as the Convention has been drafted for a long time, it seems that it is gradually unable to meet the needs of the times, as represented by the new form of trade represented by electronic commerce. The new trade content, led by trade in services, as well as the new contracting rules by means of the extensive use of standardized contracts, make the application of the Convention to some transactions more uncertain. This paper begins with the three relations of convention and trade in services, convention and electronic commerce, convention and standard contract, and combines the general environment of international trade and the object, purpose or principle of the convention. The first chapter mainly introduces the basic information of the Convention, including the system, characteristics, functions and evaluation, and then leads to the specific problems and challenges encountered in the trade form and content of the Convention. The second chapter mainly discusses the relationship between the Convention and trade in services, analyzes the necessity and feasibility of the Convention, mainly based on the interpretation of the Convention and the purpose of the Convention. It is pointed out that the Convention can and should also adjust trade in services under the current trading environment. Chapter III discusses the relationship between the Convention and the emerging trade transaction mode, e-commerce, and focuses on several issues. For example, how to identify the "international" standard of the Convention, how to resolve the conflict between the "fictitious" of electronic commerce and the "substantive" of the sale of goods, the question of written form, the question of contracting rules in electronic environment, etc.; Chapter 4th deals with the relationship between the Convention and standard contracts, which are widely used in international trade. After introducing the relevant concepts and development trends of international standard contracts, it focuses on the provisions and shortcomings of the Convention in resolving the dispute over standard contracts. This paper compares the relevant practices of other countries' trade law, and finally puts forward some suggestions on the convention.
