【摘要】:中国东盟自由贸易区(简称CAFTA)自成立以来,吸引外资的成绩举世瞩目,己成为国际资本投资的重要目的地。中国与东盟国家相互投资额不断增长,截止2008年底,中国与东盟国家双方相互投资额近600亿美元。东盟各国签订了《促进和保护投资协议》,中国也与东盟十国除缅甸外的泰国、菲律宾、柬埔寨、老挝、马来西亚、泰国、新加坡、印度尼西亚、越南、文莱九国签订了鼓励和相互投资保护协定,在东盟区域一体化的趋势下,为进一步统一管理外资,规范投资者的行为,并与国际投资规则的发展接轨,CAFTA《投资协议》呼之欲出。 CAFTA《投资协议》于2009年9月15日尘埃落定,并于2010年2月15日正式生效。因此,加强对该协议的研究,提高我国对东盟投资的风险防范能力,增强我国企业的国际竞争力,提出我国涉外投资法律制度的完善对策,促进国内和东盟两个大市场发展,争取合作共赢的发展局面,具有重大而现实的意义。 本文立足于CAFTA《投资协议》中的投资规则设计,选择若干重要法律问题进行研究,并结合北美自由贸易区、欧盟的投资规则进行文本比较分析,解读CAFTA《投资协议》中的相关投资规则,同时对CAFTA投资规则和北美自由贸易区(简称NAFTA)、欧盟(简称EU)投资规则进行比较,最后提出一些完善《投资协议》的对策和建议。 本文主要分为五个部分: 第一部分为区域经济一体化与区域投资规则的简要介绍,梳理EU和NAFTA区域投资规则成型及演变的脉络。 第二部分主要介绍了《投资协议》的概况,包括缘起、出台背景及产生的影响、法律性质、特殊之处。 第三部分是本文的重点所在。本章依次对投资准入、投资待遇、投资保护、投资争议解决、透明度、制度安排等投资领域的核心问题进行法律评析,同时对EU、NAFTA的投资规则进行剖析,以期发现其制度背后隐藏的法理,为CAFTA的完善寻找突破口。 第四部分针对CAFTA区域投资规则,试指出《投资协议》的不足之处,并提出相应的法律策略,包括:逐步放宽市场准入;渐进式推行国民待遇;推进投资便利化;切实保护投资者的合法权益等。 第五部分结语指出中国缺乏影响区域投资规则形成的经验,中国可将《投资协议》签订过程中积累的经验,运用到亚太经合组织(简称APEC)等区域投资规则成型的过程中,将未来可能在多边层面提出的投资规则首先在区域层面进行尝试和试验,积极引导未来多边投资规则的走向,争取中国在亚太地区乃至世界投资领域的话语权。
[Abstract]:Since its establishment, China-ASEAN Free Trade area (CAFTAA) has attracted worldwide attention and become an important destination for international capital investment. China and ASEAN countries are investing more and more in each other, and by the end of 2008, China and ASEAN countries had invested nearly $60 billion in each other. ASEAN countries have signed the Agreement on the Promotion and Protection of Investment, and China and the 10 ASEAN countries, in addition to Myanmar, Thailand, the Philippines, Cambodia, Laos, Malaysia, Thailand, Singapore, Indonesia, Vietnam, Under the trend of ASEAN regional integration, nine Brunei countries have signed an agreement to encourage and protect mutual investment. In order to further unify the management of foreign capital, standardize the behavior of investors, and keep in line with the development of international investment rules, CAFTA "Investment Agreement" is ready to emerge. The CAFTA Investment Agreement was settled on September 15, 2009, and came into effect on February 15, 2010. Therefore, we should strengthen the research on this agreement, improve the risk prevention ability of our country's investment in ASEAN, enhance the international competitiveness of our enterprises, put forward the perfect countermeasures of our country's foreign investment legal system, and promote the development of domestic and ASEAN two big markets. It is of great and realistic significance to strive for the development of win-win cooperation. Based on the design of investment rules in CAFTA, this paper chooses some important legal issues to study, and makes a comparative analysis of the investment rules of the North American Free Trade area and the European Union. This paper interprets the relevant investment rules in CAFTA, compares the investment rules of CAFTA with those of the North American Free Trade area (NAFTA), and finally puts forward some countermeasures and suggestions to perfect the Investment Agreement. This paper is divided into five parts: The first part is a brief introduction of regional economic integration and regional investment rules, combing the formation and evolution of EU and NAFTA regional investment rules. The second part mainly introduces the general situation of Investment Agreement, including the origin, background and influence, legal nature, special place. The third part is the focus of this paper. This chapter carries on the legal analysis to the investment access, the investment treatment, the investment protection, the investment dispute resolution, the transparency, the system arrangement and so on investment domain core question successively, simultaneously carries on the analysis to the EUNFTA investment rule, In order to find its system behind the hidden legal theory, for the perfection of CAFTA to find a breakthrough. The fourth part of the CAFTA regional investment rules, try to point out the deficiencies of the "Investment Agreement", and put forward the corresponding legal strategies, including: gradually relax market access, gradual implementation of national treatment, promote investment facilitation; To protect the legitimate rights and interests of investors. The conclusion of the fifth part points out that China lacks the experience to influence the formation of regional investment rules. China can apply the experience accumulated in the process of signing the Investment Agreement to the process of forming regional investment rules such as the Asia-Pacific Economic Cooperation (APEC). The investment rules that may be put forward at the multilateral level in the future are first tried and tested at the regional level to actively guide the trend of the future multilateral investment rules and to strive for China's right to speak in the investment field of the Asia-Pacific region and the world as a whole.
