跨国银行监管法律问题研究

【摘要】: 本文旨在从法学角度研究跨国银行监管的“应然”要求和“实然”状况,籍此探讨完善我国跨国银行监管的法制体系。 随着中国于2001年12月11日正式成为世贸组织成员方,中国金融市场的开放与发展又进入了一个新阶段,跨国银行进入我国将出现新的飞跃。然而近几年来,各国金融危机的惨痛教训告诉我们,在金融发展开放的同时,必须高度重视维护国家金融安全、防范金融风险。跨国银行作为各国金融交往的中介,它在给各国带来利益的同时,也会增加国际金融市场的不稳定,并且自身就是金融风险的天然传导者。2002年2月召开的中央金融工作会议强调:加强金融监管,防范金融风险,保持金融稳定,是顺利推进金融改革和发展的基础,是贯彻执行国家宏观调控政策的必要条件,是维护国家经济安全的重要保证。2003年3月10日,十届全国人大一次会议审议通过了关于组建中国银行业监督管理委员会的方案,这标志着我国对银行业的监管体制作出了重大调整。1如何借鉴国际金融监管惯例、经验,并结合中国具体国情,完善和加强对跨国银行的监管,使中国对跨国银行的监管水平符合中国金融开放和融入金融全球化进程的要求,就成为时代赋予的重大课题。 迄今为止,国内关于跨国银行监管的文献,绝大部分集中在经济学、金融学领域,专门从法学角度研究的很少。2而从法学角度研究的文献,绝大部分又出自我国入世以前,特别重要的,几乎全部出自我国2001年12月20日颁布的《中华人民共和国外资金融机构管理条例》和2002年1月25日公布的《中华人民共和国外资金融机构 WP=3 管理条例实施细则》以前。3当然,在新的《条例》及其《细则》中已经体现了近年来学者们的研究成果,但稍有遗憾的是,毕竟结合我国对跨国银行监管的最新法规的评判还未展开,在这方面还存在学术空白点。 其表现为一方面,我们通过书籍、报刊、网络可以看到很多经济学者、金融学者对跨国银行监管的经济学、金融学分析,看到他们从自己学科的角度对跨国银行监管制度的政策性思考。另一方面,就笔者所知,目前仅有一部从法律角度探讨跨国银行的专著即岳彩申先生所著《跨国银行法律制度研究》,总体上说,国内法学界对跨国银行监管的研究还有待深化。 本文研究有三方面意义。其一,在我国成为WTO的成员方,并正在对银行业的监管体制作出重大调整的背景下,如何借鉴国际金融监管的惯例和经验,结合中国具体国情,完善和加强对包括跨国银行在内的银行业监管,使中国银行业的监管水平符合中国金融开放和融入金融全球化进程的要求,就成为时代赋予的重大课题。研究跨国银行监管法的“应然”要求和“实然”状况,具有重要的理论意义与实践意义。其二,研究跨国银行监管的法理,对金融监管法的理论研究有重要意义,可为我国金融立法和司法实践提供相关理论支持。其三,研究跨国银行监管的法理,也就是在研究经济法,可为经济法一般原理的研究提供实证素材,有助于繁荣经济法的研究。 本文主要采用资料文献研究的实证研究方法,辅之以经验研究方法。从文章内容来看,笔者先是采用了演绎研究方法对中国跨国银行监管的必要性进行了学理分析,从一般法学理论的角度,阐明了跨国银行监管法的“应然”结构;接着采用比较研究的方法对国外跨国银行监管的法律规定进行分析;(得出跨国银行监管法一般的“实然”状况)最后,结合我国跨国银行监管法的“实然”状况,用价值分析法和逻辑分析法对我国跨国银行监管提出了法律对策,回答我国跨国 WP=4 银行监管法的“应然”要求。 全文分四章。第一章分析跨国银行监管的必要性。跨国银行的出现和发展既是经济、金融全球化的内在要求,又是经济、金融全球化的重要动力。跨国银行具有主体资格的多样性与差别性、适用法律的复杂性、内部管理制度的复杂性等法律特征。它的迅猛发展增加了金融风险与国际金融市场的不稳定因素,它推出层出不穷的金融创新,不断突破和规避金融监管,促使各国不断改进监管并采取国际协调措施。跨国银行对相关国家(母国和东道国)的宏观经济变量,,例如通货膨胀、利率变动、国际收支都有一定的负面影响,从微观经济变量(金融业自身角度)来看,跨国银行的活动直接涉及金融业的安全效率运作。 第二章跨国银行监管的法律阐释。从大陆法系的角度,阐明跨国银行监管法的“应然”结构。跨国银行监管法的总则性内容应当包括跨国银行监管法的目标、跨国银行监管法的价值和跨国银行监管法的原则。跨国银行监管法的目标体系应该由稳定、效率两大类目标构成;跨国银行监管法的价值体系应当包括秩序、公平、效益;跨国银行监管法的原则应当包括由安全性、效益性、统一性构成的公理性原则,还应当包括由东道国监管、母国监管、国民待遇构成的政策性原则。在大陆法系国家,跨国银行监管法应是金融法的分支,属于经济法这一法律部门;跨国银行监管法的效力等级体系由金融法律、金融行政法规、金融行政规章三个层次构成。从法学学科体系看,跨国银行监管法还涉及有关国际法、国际经济法的领域。 第三章跨国银行监管法律规定的比较研究。跨国银行监管的全过程可以分为预防性质监管、营运过程监管、补救
[Abstract]:The aim of this paper is to study the "deserved" and "true" status of transnational bank supervision from the perspective of law, and to explore the legal system of China's transnational banking supervision.

On the other hand, as far as I know, only one is discussed from the legal point of view. In general, the research on the supervision of transnational banks in the domestic law circles remains to be deepened.
In this paper, there are three meanings in this study. First, in the context of becoming a member of WTO, and under the background of a major adjustment of the banking regulatory system, how to use the practice and experience of international financial supervision and to improve and strengthen banking supervision in China, including transnational banking, in combination with the specific national conditions of China, so as to regulate the banking industry in China. The level accords with the requirements of China's financial liberalization and integration into the process of financial globalization. It has become a major issue in the times. It is of great theoretical and practical significance to study the "deserved" and "true" status of the regulatory law of transnational banks. Secondly, the study of the jurisprudence of transnational bank supervision and the theoretical research on Financial Supervision Law It is of great significance to provide theoretical support for China's financial legislation and judicial practice. Thirdly, the study of the jurisprudence of transnational bank supervision is to provide empirical materials for the study of the general principles of economic law, which is helpful to the prosperity of economic law.
This article mainly adopts the empirical research method and the empirical research method. From the content of the article, the author first adopted a deductive study method to analyze the necessity of the supervision of China's transnational banks. From the perspective of the general law theory, the author clarified the "deserved" structure of the transnational bank supervision law. The method of comparative study is used to analyze the legal provisions of foreign transnational bank supervision and the general "actual" situation of transnational bank supervision law. The general principles of transnational bank supervision law should include the target of transnational bank supervision law, the value of transnational bank supervision law and the principle of transnational bank supervision law.
