主权财富基金法律规制问题研究

【摘要】：近年来,主权财富基金发展迅速,成为国际金融和投资领域重要参与者,在国际立法层面,主权财富基金的国际统一立法处于起步阶段,大部分立法努力尚未形成正式的法律文件。对我国而言,关注这些立法活动的动态,并努力适应这些法律趋势,对完善我国主权财富基金的法律规制无疑具有十分重要的意义。鉴于此,本文对主权财富基金法律制度进行论及,全文除了绪论与结论外,主体内容共分为四大部分：首先,概括介绍主权财富基金的基本理论,包括主权财富基金的内涵、主权财富基金的历史发展、特征并将主权财富基金同基金、外汇储备等相近概念进行了对比以便更准确的了解主权财富基金这一制度。其次,主要分析了国际社会包括国际组织和西方发达国家对主权财富基金进行法律规制的具体立法实践。再次,总结我国主权财富基金的兴起背景及发展现状,,探析我国在主权财富基金法律规制方面存在的不足。最后,根据全文针对我国在主权财富基金法律规制方面存在的不足,总结国际社会和发达国家经验,提出争取主权财富基金法律规制的国际立法主导权、建立主权财富基金国家安全审查制度、完善我国主权财富基金法律风险评估体系等完善主权财富基金法律规制的建议。
[Abstract]:In recent years, sovereign wealth funds have developed rapidly and become important participants in the field of international finance and investment. At the level of international legislation, the international uniform legislation of sovereign wealth funds is in its infancy. Most legislative efforts have not yet been formalized. For our country, it is of great significance to pay attention to the development of these legislative activities and to adapt to these legal trends, which is undoubtedly of great significance to the perfection of the legal regulation of sovereign wealth funds in our country. In view of this, this paper deals with the legal system of sovereign wealth funds. In addition to the introduction and conclusion, the main content is divided into four parts: First of all, it introduces the basic theories of SWFs, including the connotation of SWFs, the historical development of SWFs, the characteristics of SWFs and the relationship between SWFs and SWFs. Similar concepts, such as foreign exchange reserves, are contrasted to better understand the sovereign wealth fund system. Secondly, it mainly analyzes the specific legislative practice of the international community, including international organizations and western developed countries, to regulate sovereign wealth funds. Thirdly, this paper summarizes the background of the rise and development of sovereign wealth funds in China, and probes into the deficiencies in the legal regulation of sovereign wealth funds in China. Finally, according to the deficiencies in the legal regulation of sovereign wealth funds in China, this paper summarizes the experiences of the international community and developed countries, and proposes to strive for the leading power of international legislation on the legal regulation of sovereign wealth funds. The suggestion of perfecting the legal regulation of sovereign wealth fund is to establish the national security review system of the sovereign wealth fund and perfect the legal risk assessment system of the sovereign wealth fund in our country.
