【摘要】:随着政治环境的趋稳趋好、经济的逐步发展,非洲正成为新的投资热土:从东道国方面来说,非洲各国注重吸引外资,出台众多外资优惠政策,如放宽投资领域、简化投资审批手续等;从外国投资者方面来说,他们也注意到非洲的投资环境的改善,纷纷表示出极大的兴趣并寻求更广泛地进入这个待开发大市场的机会。中国与非洲各国的经贸合作也在不断扩大,尤其自2006年中非合作论坛北京峰会以来,中国投资者对非洲的投资增长较快,且领域不断拓宽。 的确,投资非洲的前景十分乐观。但我们还应谨慎地看到投资非洲存在着诸多变数,例如非洲国家不稳定的投资立法、立法与执法之间存在的巨大落差,以及各式各样的政治风险等。此外,随着投资的增多和领域的拓展,投资各方的利益纷争也必然会增加。这种情况下,如何有效地解决外国投资者和非洲东道国的投资争议,从而为非洲投资的良性发展给予制度上的保障,理应顺其自然地进入我们的视野。 目前国内外就国际投资争议解决机制的研究比较活跃,成果也比较丰富,但是这一课题放到非洲背景下,其研究还非常薄弱——我们的目光多投向了欧盟、北美、东亚等经济发展较为成熟的地区,非洲却做了我们视觉上的盲点。可喜的是,这一局面近几年有所改变:湘潭大学非洲法律与社会研究中心——中国目前第一个也是唯一一个非洲法研究机构,承担了非洲法主要的研究工作,该机构在很大程度上推动了非洲法的研究且取得了不小的成绩。但从总体上看,非洲法研究在我国仍然是一个有待开发的领域,我们所做的还远远不够。 本文以投资非洲争议解决机制为研究内容,将全文分为四个部分。 第一部分:投资非洲的争议可能性分析。该部分结合非洲一体化及次区域一体化的背景,通过对非洲投资环境的分析以指出投资非洲存在的主要风险。 第二部分:现有的投资争议解决途径。该部分对现有的投资者-东道国投资争议的主要解决途径进行论述,进而分析这几种争议解决途径面对非洲东道国时的可行性。 第三部分:投资者-非洲东道国争议解决的国际仲裁途径。该部分首先以ICSID仲裁为研究对象,并同时指出对其面临的某些质疑;接着将研究重点放在了非洲商法协调组织上,介绍了该组织的司法与仲裁共同法院作为常设性仲裁机构的一些创新;最后将该组织的仲裁机制与ICSID仲裁机制进行一番比较分析。 第四部分:中国企业投资非洲争议解决机制完善。经过了上述几个环节的论述,本文在此基础上,提出中国投资非洲争议解决的立场与原则,并继而从投资争议解决途径的选择、中国相关的双边投资条约的完善角度,提出争议解决机制的完善建议。
[Abstract]:With the stabilization of the political environment and the gradual development of the economy, Africa is becoming a new investment hotbed: from the host country's point of view, African countries pay attention to attracting foreign capital and introduce numerous preferential policies for foreign investment, such as relaxing the investment field. Foreign investors, for their part, have also taken note of the improved investment climate in Africa, showing great interest and seeking wider access to the big market to be developed. Economic and trade cooperation between China and African countries is also expanding, especially since the 2006 China-Africa Cooperation Forum summit in Beijing, where Chinese investors' investment in Africa has been growing faster and wider. Indeed, the outlook for investing in Africa is optimistic. But we should also be careful to see that there are many variables in investing in Africa, such as the unstable investment legislation of African countries, the huge gap between legislation and enforcement, and the various political risks. In addition, with the increase of investment and expansion of the field, the interests of investment parties will inevitably increase. Under such circumstances, how to effectively resolve the investment disputes between foreign investors and African host countries, and thus provide institutional protection for the benign development of African investment, should enter our field of vision naturally. At present, the research on international investment dispute resolution mechanism at home and abroad is relatively active, and the results are relatively rich. However, the research on this subject is still very weak in the context of Africa. Most of our eyes have been on the European Union, North America, East Asia and other more mature areas of economic development, Africa has done our visual blind spot. Fortunately, this situation has changed in recent years: the Centre for African Law and Social Studies of Xiangtan University, the first and only African law research institution in China, has undertaken the main research work on African law. To a large extent, the agency has promoted the study of African law and has achieved a great deal. But on the whole, the study of African law is still a field to be developed in our country, and what we have done is far from enough. In this paper, the investment dispute settlement mechanism in Africa as the research content, the full text is divided into four parts. Part one: an Analysis of the possibility of Investment in Africa. Based on the background of African integration and subregional integration, this part points out the main risks of investment in Africa through the analysis of the investment environment in Africa. The second part: the existing investment dispute settlement approach. This part discusses the main ways to resolve the investor-host country investment dispute, and then analyzes the feasibility of these dispute settlement approaches when facing the African host country. The third part: the international arbitration approach of investor-host country dispute settlement in Africa. This part first focuses on ICSID arbitration, and at the same time points out some of the challenges it faces, and then focuses on the African Organization for the Harmonization of Commercial Law. This paper introduces some innovations of the common court of judicature and arbitration of the organization as a permanent arbitration institution, and finally makes a comparative analysis of the arbitration mechanism of the organization and the arbitration mechanism of ICSID. The fourth part: the perfection of Chinese enterprises' investment dispute settlement mechanism in Africa. On the basis of the above discussion, this paper puts forward the position and principle of China's investment dispute settlement in Africa, and then from the perspective of the choice of investment dispute settlement approach and the perfection of China's relevant bilateral investment treaties. Put forward the suggestion of perfecting the dispute settlement mechanism.
