我国海外投资企业利益的法律保护研究

【摘要】:我国的海外投资起始于20世纪70年代末,经历了自发探索阶段,起步阶段,发展阶段和高速发展四个阶段。截止到2010年,我国的海外直接投资净额688.1亿美元,流量首超日本、英国等传统对外投资大国,创历史最高值,全球排名第五位。虽然我国的海外投资量在不断增长,但我国海外投资企业在海外的投资收益并不容乐观,本文通过对两则典型的海外投资失败事件进行分析,总结我国海外投资企业海外投资失利的原因有二,一则为缺乏有效的海外投资管理法和海外投资保险制度,不能行之有效的对我国企业的海外投资行为给予规范、指导,也无法在我国企业海外投资遇险后很好的为其分担风险,代位求偿;二则为我国缔结的双边投资保护协定数量不足,涉及的国家或地区数量有限,且内容较为保守,多为以保护东道国利益为出发点。 在本文中,笔者通过对实例和法理的分析,试图从国内法和国际法两个层面加强我国海外投资企业利益的法律保护。本文除了导言和结语外,共分为五个部分。 第一章是对海外直接投资的概念和特征进行介绍,通过对海外直接投资的定义,及特征的界定,指出海外直接投资行为是受投资东道国和投资者母国的双重管辖的。 第二章是对我国海外投资的发展过程和现状的介绍,中国海外投资是中国整体改革开放政策的产物,由产生到高速发展共经历了四个截然不同的阶段。现在我国的海外投资正处于巅峰状态,全球排位第五,并且我国企业进行海外投资的目的地国大多为非发达国家。我国进行海外投资的企业中,,国有企业占较大的比重。 第三章通过对两则较为具有代表性的失败事件进行分析和总结,找出我国海外投资企业在进行海外投资时遭遇失败的原因——海外投资管理法律和海外投资保险制度的缺失和不健全,还有双边投资保护协定缔结的不够科学都是主要原因。 第四章从构建我国海外投资管理立法和海外投资保险制度为出发点,分析我国海外投资管理立法存在的问题及相应的完善建议;海外投资保险制度方面,通过分析海外投资保险制度对保护我国海外投资企业的重要性,提出完善我国海外投资保险制度的若干建议。 第五章通过对我国已经缔结的双边投资保护协定进行分析,总结出如果我们国家想要成为我国海外投资企业的坚强后盾,就要进一步加强和完善我国双边投资保护协定的缔结。同时对完善我国缔结的双边投资保护协定提出了一些建议。
[Abstract]:China's overseas investment began in the late 1970s and has experienced four stages: spontaneous exploration stage, initial stage, development stage and high speed development stage. By 2010, China's net overseas direct investment (FDI) was $68.81 billion, the first to surpass Japan, Britain and other traditional overseas investment countries, the highest value in history and the fifth in the world. Although the amount of overseas investment in our country is increasing, the income of overseas investment enterprises in China is not optimistic. This paper analyzes two typical overseas investment failure events. There are two reasons for the failure of overseas investment in China's overseas investment enterprises. One is the lack of effective overseas investment management law and overseas investment insurance system, which can not effectively regulate and guide the overseas investment behavior of Chinese enterprises. They are also unable to share risks and subrogate claims for Chinese enterprises after their overseas investments are in distress; second, the number of bilateral investment protection agreements concluded by China is insufficient, the number of countries or regions involved is limited, and the contents are relatively conservative. Mostly to protect the interests of the host country as the starting point. In this paper, the author tries to strengthen the legal protection of the interests of overseas investment enterprises from the two aspects of domestic law and international law through the analysis of examples and jurisprudence. In addition to the introduction and conclusion, this paper is divided into five parts. The first chapter introduces the concept and characteristics of FDI. By defining the definition and characteristics of FDI, the author points out that the behavior of FDI is subject to the dual jurisdiction of the host country and the home country of the investor. The second chapter is an introduction to the development process and present situation of China's overseas investment, which is the product of China's overall reform and opening up policy, and has undergone four distinct stages from its emergence to its rapid development. At present, China's overseas investment is at its peak, ranking fifth in the world, and the destination countries for overseas investment of Chinese enterprises are mostly non-developed countries. State-owned enterprises account for a large proportion of Chinese enterprises investing overseas. Chapter three analyzes and summarizes two representative failure events. To find out the reasons for the failure of overseas investment enterprises in China, the lack and imperfection of overseas investment management law and overseas investment insurance system, and the unscientific conclusion of bilateral investment protection agreements are the main reasons. The fourth chapter analyzes the problems existing in the legislation of overseas investment management and the corresponding suggestions for perfection from the point of view of the construction of the overseas investment management legislation and the overseas investment insurance system. Based on the analysis of the importance of overseas investment insurance system to the protection of overseas investment enterprises in China, some suggestions are put forward to perfect the overseas investment insurance system in China. The fifth chapter analyzes the bilateral investment protection agreements that China has concluded, and concludes that if our country wants to be the strong backing of overseas investment enterprises, we should further strengthen and perfect the conclusion of bilateral investment protection agreements. At the same time, some suggestions are put forward to perfect the bilateral investment protection agreement concluded by China.
